Regulations of Yunnan Province on Trade Associations

Chapter I General Provisions Article 1 In order to standardize the organization and behavior of trade associations, promote their healthy development and give full play to their role in economic and social construction, these Regulations are formulated in accordance with the provisions of relevant laws and regulations and in light of the actual situation of this province. Article 2 These Regulations shall apply to the establishment, alteration, termination, activities, supervision and management of trade associations within the administrative area of this province. Article 3 The term "trade associations" as mentioned in these Regulations refers to economic organizations engaged in production and business activities in the same or related industries, and non-profit social organizations voluntarily formed by individuals related to this industry and legally registered by the civil affairs departments. Article 4 Trade associations shall carry out activities in accordance with laws, regulations and articles of association, and no organization or individual may illegally interfere.

Trade associations shall provide services for their members, safeguard their legitimate rights and interests, strengthen industry self-discipline, and safeguard fair competition order and the overall interests of the industry. Fifth people's governments at or above the county level shall support the development of trade associations and support and protect trade associations to carry out activities according to law.

The civil affairs departments of the people's governments at or above the county level are the registration management organs of trade associations, responsible for the establishment, alteration and cancellation of registration of trade associations, and supervise and manage trade associations.

The industry management departments of the people's governments at or above the county level and other relevant departments shall, within the scope of their respective duties, be responsible for the business guidance, supervision and management of the relevant activities of industry associations. Chapter II Establishment, Change and Cancellation of Registration Article 6 Trade associations shall be established in accordance with the national economic industry classification standards, or in accordance with product types, modes of operation, business links and service types. Article 7 To establish a trade association, the following conditions shall be met:

(a) more than 30 economic organizations and individuals engaged in the same or related industries to apply for membership;

(2) The promoters shall be economic organizations that have obtained business licenses according to law and have no illegal business records in the past two years;

(3) Having a standardized name, articles of association, organizational structure and full-time personnel suitable for its activities;

(4) Having a fixed residence;

(5) Having legal assets and sources of funds, the registered capital of the trade association registered with the provincial registration authority is not less than 300,000 yuan, the registered capital of the trade association registered with the state (city) registration authority is not less than 654.38+10,000 yuan, and the registered capital of the trade association registered with the county (city, district) registration authority is not less than 30,000 yuan. Article 8 The name of a trade association shall indicate the industry to which it belongs, and names such as "trade association", "association" and "trade chamber of commerce" shall be used. The name can be prefixed with the font size and the words of the administrative division to which the registration authority belongs. Article 9 To apply for the establishment of a trade association, the promoters above 10 shall apply to the registration authority for the establishment and submit the following materials:

(1) An application for registration of establishment;

(2) Draft articles of association;

(3) Basic information, business status certificate and business license of the promoters;

(4) Resume and identity certificate of the person-in-charge to be appointed;

(5) List of members;

(6) capital verification report and proof of residence;

(seven) other materials as prescribed by laws and regulations.

The registration authority shall make a decision within 20 days from the date of receiving the application materials for establishment registration. If registration is granted, an approval document shall be issued; If the registration is not granted, the reasons shall be explained in writing. Article 10 An industry association that has been approved for registration shall convene a general meeting of its members (members' representatives) within 3 months from the date of receiving the decision of the registration management authority to approve the registration, adopt the articles of association, elect the leaders of organizations and industry associations, submit relevant materials to the registration management authority, and apply for the registration certificate of social organizations as legal persons.

The registration authority shall make a decision within 20 days from the date of receiving the application materials. To meet the conditions, awarded the "social group legal person registration certificate"; Do not meet the conditions, explain the reasons in writing. Article 11 The registration of trade associations shall include the following items:

(1) name;

(2) domicile;

(3) Legal representative;

(4) Registered capital;

(5) Business scope;

(6) activity area. Article 12 Where the registered items of a trade association change, it shall apply to the registration authority for registration of change within 30 days from the date of change.

To apply for registration of change, an application for registration of change signed by the legal representative and a resolution or decision on change made by the general meeting of members (members' representatives) shall be submitted, and the following provisions shall be observed:

(1) Where the name and business scope are changed, the revised draft articles of association shall be submitted;

(two) to change the residence, it shall apply for registration of change before moving into the new residence, and provide a new certificate of the right to use the residence;

(3) If the legal representative is changed, submit the term audit report issued by the accounting firm;

(4) Where the registered capital is changed, a capital verification certificate issued by an accounting firm shall be submitted.

The registration authority shall make a decision within 20 days from the date of receiving the application for change. If the change is approved, the Social Organization Legal Person Registration Certificate shall be renewed; If it is not changed, it shall explain the reasons in writing. Article 13 The articles of association of a trade association shall specify the following items:

(1) Name and purpose;

(2) Business scope and activity area;

(three) membership, rights and obligations, payment standards, membership and withdrawal procedures;

(four) the organization and its methods of formation, functions and powers, and rules of procedure;

(five) the conditions and the generation, authority, term of office and the method of recall of the person in charge;

(six) financial budget, final accounts, liquidation and other asset management measures;

(7) Procedures for amending the Articles of Association;

(8) Measures for establishing branches and representative offices;

(nine) the measures for the disposal of assets after the change, cancellation or cancellation of the association;

(10) Other matters that shall be stipulated in the articles of association.
