Yu Xiansheng, executive and non-executive director, chairman and executive director. Mr. Yu holds a master's degree in economics from Fudan University and is an economist. Yu Xiansheng is currently the director and chairman of Shanghai Jinjiang International Hotel Development Co., Ltd. and the chairman of Shanghai Changjiang Hotel Co., Ltd..

Mr. Shen Maoxing, Vice Chairman and Non-executive Director. Mr. Shen holds a master's degree in business administration from Macau University of Science and Technology and has rich experience in hotel management. He joined the group on 1995. Mr. Shen is currently the vice chairman of Shanghai Jinjiang International Hotel Development Co., Ltd. and the director and chairman of Chengdu Jinhe Property Development Co., Ltd.

Ms. Chen Wenjun, Executive Director. Ms. Chen holds a master's degree in economics from Shanghai University of Finance and Economics, and is a senior accountant with financial management experience. She joined the group in 198 1. Ms. Chen is currently the chairman of Shanghai Jinjiang Hotel Co., Ltd., Shanghai Jinjiang International Hotel Investment Co., Ltd., Jinjiang Inn Co., Ltd., Jinjiang International Group Finance Co., Ltd. and Shanghai Hotel Co., Ltd.

Mr. Yang Weimin, Executive Director, Authorized Representative and CEO. Mr. Yang holds a master's degree in law from East China University of Science and Technology, a senior economist, and has rich experience in hotel management. He joined the group on 1989. Mr. Yang is currently the vice chairman of Shanghai Jinjiang International Hotel Development Co., Ltd., Shanghai Jinjiang International Hotel Investment Co., Ltd. and Jinjiang Star Hotel Co., Ltd., the chairman of Shanghai Jinjiang International Catering Investment Management Co., Ltd., the chairman of Shanghai Jianguo Hotel, the chairman of Yunnan Jinjiang International Management Co., Ltd. and the executive director of Jinjiang International Hotel Management Co., Ltd.

Mr. Chen Hao, Executive Director. Mr. Chen holds a bachelor's degree from Shanghai Polytechnic University and is an engineer with many years of hotel management experience. He joined the group on 1985. Mr. Chen is currently the director and CEO of Shanghai Jinjiang International Hotel Development Co., Ltd., the vice chairman of Wenzhou Dynasty Hotel, the chairman of Shanghai City Restaurant in the Netherlands, the director of Shanghai Jinjiang International Hotel Investment Co., Ltd., the chairman of Wuhan Jinjiang International Hotel Co., Ltd., the director of Jinjiang Star Hotel Co., Ltd., the vice chairman of Shanghai Jinjiang International Catering Investment Management Co., Ltd., the executive director of Shanghai Jin Ya Hotel Co., Ltd., the director of Shanghai Jinjiang Tomson Hotel Co., Ltd., the director of Jianguo Hotel and the chairman of Shanghai Helen Hotel Co., Ltd.

Mr. Xu Zurong, Executive Director and Vice President of the Company, is a senior economist. 198 1 year joined the group. He has been the general manager of Longbai Hotel, the general manager of Jinjiang California Company, and the manager of the integrated business management department of Jinjiang (Group) Co., Ltd., and is currently the president of Jinjiang Star Co., Ltd. and the general manager of Shanghai Jinjiang International Hotel Investment Co., Ltd.

Mr. Han Min, executive director and vice president of our company, holds a master's degree in international law from Fudan University. He joined the Group in 2005 and has served as manager of investment development department of Jinjiang (Group) Co., Ltd., manager of M&A department of Jinjiang International (Group) Co., Ltd. and director of Shanghai Jinjiang International Tourism Co., Ltd.

Mr. Kang Ming, Executive Director of the Company. Mr. Kang holds a master's degree in economics from Shanghai University of Finance and Economics, a senior accountant and a director of Shanghai Finance Association. Mr. Kang joined the Group in 1994 and has accumulated experience in information disclosure, corporate governance and investor relations of listed companies in the past 12 years. He used to be the secretary of the board of directors of Shanghai Jinjiang International Hotel Development Co., Ltd. and was awarded the "Outstanding Secretary-General Nomination Award" by the Board Secretaries Association of listed companies in Shanghai. Mr. Kang is also one of the joint company secretaries and the secretary of the board of directors of the Company.

Independent non-executive director

Mr. Ji Gang, independent non-executive director. Mr. Ji is a senior economist with a master's degree in economics. Mr. Ji has served as an independent director of Shanghai Jinjiang International Hotel Development Co., Ltd., deputy manager of Zhabei District Service Company, general manager of Shanghai Zhongya Hotel, general manager and chairman of Shanghai Never Sleeps City, director of Zhabei District Commercial Committee and director of Zhabei District Economic Commission. Mr. Ji is currently the president of Hong Kong Shanghai Industrial Investment Co., Ltd.

Mr. Xia Dawei, Independent Non-executive Director. Mr. Xia is a master and professor of economics. Mr. Xia was a visiting researcher in osaka city university, dean and executive vice president of the International school of economics and management of Shanghai University of Finance and Economics. Mr. Xia is also an independent director of Shanghai No.1 Pharmaceutical Co., Ltd. He is currently the president of Shanghai National Accounting Institute (a government-funded institution under the Ministry of Finance) and the secretary-general of Asia-Pacific Finance and Development Center (AFDP). He is also the vice-president of China Industrial Economic Research and Development Promotion Association, the vice-president of China Accounting Society, and the member of the expert committee of listed companies of Shanghai Stock Exchange.

Mr. Sun Dajian, an independent non-executive director. Mr. Sun is a senior accountant and graduated from Shanghai University of Finance and Economics with a bachelor's degree in accounting. From 199 1 to 1992, Mr. Sun participated in the internship program of the Hong Kong Institute of Accountants, worked as an auditor in a local accounting firm in Hong Kong for one year, and worked as the manager of Dahua Certified Public Accountants and PricewaterhouseCoopers in Shanghai, and accumulated rich accounting experience. Since 2000, he has been the chief accountant of China listed company Shanghai Hua Yao pilkington Glass Co., Ltd., mainly responsible for the company's internal control and accounting policy affairs, and presided over the annual audit work.

Mr. Rui Mingjie, an independent non-executive director. Mr. Rui is a doctor and professor of economics. He used to be an independent director of Shanghai Seabird Development Co., Ltd. and Shanghai Leading Group Co., Ltd., and now he is a professor at Fudan University School of Management, head of the Department of Industrial Economics of the School of Management, member of academic degree evaluation committee, and chairman of the degree committee of the School of Management.

Mr. Yang, independent non-executive director. Mr. Yang used to be the vice president of Bank of Communications Shanghai Branch and the director of Shanghai Xinya (Group) Co., Ltd., and now he is the supervisor of Shanghai Shande Yinka Information Service Co., Ltd. and the supervisor of Shanghai Smart Enterprise Service Co., Ltd.

Mr. Tu Qiyu, an independent non-executive director. Dr. Tu is a research scholar of Shanghai Academy of Social Sciences, specializing in international economic and urban studies. Dr Tu once taught at Bader College in new york, USA, and won the first prize of Shanghai Social Science Fund in 2000 for his book Institutional Innovation: International Political Economy of Monetary Integration. In addition, Dr. Tu was also named one of the top ten young economic figures in 2003 by Shanghai Youth Federation.

Mr. Shen Xiangcheng, an independent non-executive director. Mr. Shen holds a master's degree and is a senior economist. He has served as the vice chairman of China Tourism Hotel Association, the president of Hainan Tourism Industry Association and the vice chairman of famous hotel institutions in China, and won the title of "Top 10 Hotels in China in 2005".

Mr. Li Songpo, an independent non-executive director, has participated in training programs organized by several international hotel groups. He has served as manager of catering department of Peninsula Hotel Group, resident manager of Renaissance Shanghai Yangtze River, executive vice president of Gloria International Hotel Management Co., Ltd. and vice president of Xinya Hotel Management Company.
