Articles of Association of Shandong Cuisine Association

Chapter I General Provisions

Article 1 The name of this Association is "Shandong Cuisine Association".

Article 2 The nature of this Association is a province-wide cross-departmental and cross-ownership industry organization and non-profit social group composed of enterprises, institutions, organizations, chefs, experts, scholars and managers engaged in food nutrition research in catering business and cooking skills, cooking management, cooking teaching and cooking theory.

Article 3 The purpose of this Association is to abide by the Constitution, laws, regulations and national policies, observe social morality, and serve members, enterprises and the government under the guidance of "inheritance, development, pioneering and innovation". Communicate and implement the relevant national policies, reflect the wishes of members and industry requirements, carry forward Shandong cooking culture, improve cooking skills, study cooking science, publicize cooking knowledge, cultivate cooking technology and management talents, unite the vast number of cooking and catering workers, and make contributions to promoting and developing Shandong cooking and catering industry.

Article 4 This Association shall accept the business guidance, supervision and management of the competent business units and the registration and management organs of associations. The affiliated unit of this association is Shandong Provincial Tourism Bureau.

Article 5 The meeting place of this Association is located in Jinan.

Chapter II Scope of Business

Article 6 The business scope of this Association

(a) to publicize and implement the relevant national policies and regulations, reflect the problems, opinions and wishes of the catering industry members, and give play to the role of social intermediary organizations;

(2) Organizing members of the Association and offices to investigate and study major issues such as the principles, policies, plans and measures for the development of Shandong cuisine and catering industry, and making suggestions to relevant government departments;

(three) to study and summarize the experience of catering enterprises in deepening reform and opening up markets, and to exchange and promote them in the industry;

(four) to carry out the creation activities of famous shops, famous teachers and famous products in the cooking and catering industry, and organize the identification and recommendation;

(five) supervision of catering enterprises to strengthen industry self-discipline. Establish a good moral atmosphere;

(six) to carry out research on cooking theory and culture, and improve the scientific level of cooking;

(seven) organize and participate in cooking competitions inside and outside the province to improve the level of cooking technology;

(eight) organize technical and management training to improve the quality of cooking and catering teams;

(nine) to assist the competent authorities to do a good job in the technical grade evaluation of employees, and to accept the entrustment from inside and outside the province to handle the skill appraisal of Shandong Shandong cuisine cooking industry;

(ten) to carry out international cooking culture education, technical exchanges and cooperation, introduce Shandong cuisine cooking propaganda to foreign countries, and introduce foreign advanced cooking technology and management experience to Shandong;

(eleven) to carry out and promote the publicity and education of nutrition knowledge of green catering food, promote the reform of banquet, and advocate scientific dining;

(twelve) to promote the development and management of catering food, especially Chinese fast food, to cooperate or undertake activities such as exhibition and exhibition of related products and equipment, and to promote the industrialization and industrialization of Shandong Shandong cuisine;

(thirteen) the establishment of entities to carry out economic and trade exchanges, talent development and technical cooperation related to the cooking and catering industry;

(fourteen) to undertake cooking technology and business consulting services;

(fifteen) to undertake the relevant cooking matters entrusted by the relevant departments and carry out other activities beneficial to the development of cooking.

Chapter III Members

Article 7 Members of this Association are divided into group members and individual members.

Article 8 A member applying to join this Association must meet the following requirements:

(1) Group members: local cooking associations, societies, research institutes and research institutes; Catering companies, groups and restaurants,

Hotels, restaurants, restaurants and other catering enterprises and enterprises related to the catering industry; Cooking colleges, scientific research institutions and other institutions, regardless of the nature of ownership, who support the articles of association of this association, can voluntarily apply for membership and become a group member of this association.

(2) Individual members: chefs, pastry chefs, bartenders, sculptors and catering service technicians at or above the senior level.

Cooking teachers, doctors, nutritionists, researchers, artists, culinary theory researchers; Those who have been engaged in cooking for many years, have certain attainments in cooking research, have rich experience in industry management, support the articles of association of this association and love cooking can voluntarily apply for membership and become individual members of this association.

Article 9 Membership procedures

Anyone who wants to join the association must apply for membership, be introduced by the members of the association, and be discussed and approved by the standing Council of the association or the office of the authorized secretary-general before becoming a group member or individual member of the association. Team members should elect one or two contacts to represent the team members. Celebrities who are enthusiastic about cooking and actively support the work of the association can be directly absorbed as members or honorary members of the association by the Standing Council. All approved members will be sent to membership certificate.

Article 10 Members shall enjoy the following rights

The right to vote, to be elected and to vote;

(two) to participate in relevant activities organized by associations and local cooking and catering associations;

(three) have the right to supervise, criticize and suggest the work of this association;

(four) give priority to the services provided by the association and the supply of cooking books edited and published by the association;

(5) Freedom to join and quit voluntarily.

Article 11 Members of this Association must fulfill the following obligations:

(1) Abide by the articles of association of this Association and implement the resolutions of this Association;

(two) to safeguard the legitimate rights and interests of this association;

(three) actively complete the work assigned by the association;

(four) take the initiative to reflect the situation to the association, provide information, and make suggestions on the development of cooking and catering as much as possible;

(five) to pay the membership fee according to the regulations.

Article 12 A member who withdraws from the meeting shall notify the meeting in writing and return his membership card. If a member fails to fulfill his membership obligations and fails to pay his membership dues for two consecutive years, he will be deemed to have withdrawn automatically.

Thirteenth members who seriously violate the articles of association or are subject to criminal sanctions by the state shall be removed with the approval of the Standing Council.

Chapter IV Establishment and Cancellation of Institutions and Responsible Persons

Article 14 The highest authority of this Association is the members' congress. The functions and powers of the members' congress are:

(a) to formulate and amend the articles of association;

(two) to consider the work report and financial report of the Council;

(3) Electing and dismissing directors;

(four) to discuss and decide on the working principles and other major issues of the Association;

(five) recommend honorary president and invited consultant of the association;

(6) Deciding to terminate.

Fifteenth members' congress must be attended by more than two thirds of the representatives, and its resolutions must be attended by more than half of the representatives.

A few more votes will take effect.

Article 16 The general meeting of members shall be held every five years. Due to special circumstances, it is necessary to advance or postpone the general election, which shall be voted by the board of directors, reported to the competent business unit for review, and approved by the association registration authority. However, the term of office shall not be extended for more than one year.

Article 17 The Council is the executive body of the general meeting of members. Lead the daily work of the association during the intersessional period and be responsible to the members' congress.

Article 18 The functions and powers of the Council are:

(a) the resolution of the members' congress;

(two) to elect and recall the president, vice president and secretary general;

(three) to prepare for the convening of the members' congress;

(four) to report the work and financial situation to the members' congress;

(5) Deciding on other major matters.

Article 19 The board of directors shall be convened only when more than two thirds of the directors are present, and its resolutions shall take effect only when more than two thirds of the directors are present.

Article 20 The Council shall meet at least once every two years. Under special circumstances, it can also be convened by communication.

Article 21 The Association shall have a standing council, consisting of a president, several vice-presidents, a secretary-general and several standing directors. The Standing Council is elected by the Council and is responsible to the Council. When the Council is not in session, the Standing Council shall exercise the following functions and powers:

(a) to implement the resolutions of the general meeting of members and the members' council;

(two) to formulate the annual work plan of the association;

(three) to prepare for the convening of the members' congress;

(four) to decide to absorb or recall members;

(5) Deciding to establish offices, branches, representative offices and entities;

(six) to decide on the appointment of the Deputy Secretary-General and the principal responsible persons of various institutions;

(seven) to lead the work of the institutions of this Association;

(eight) to formulate internal management system;

(9) Deciding on other major matters.

Article 22 The Standing Council shall be convened only when more than two-thirds of the executive directors are present, and its resolutions shall take effect only after being voted by more than two-thirds of the executive directors present at the meeting.

Article 23 The Standing Council shall meet at least once a year. Special circumstances can also be held by means of communication.

Article 24 The president, vice-president and secretary-general of this Association must meet the following conditions:

(a) adhere to the party's line, principles and policies and good political quality;

(2) It has great influence in the cooking and catering industries;

(three) enthusiastic about the work of China cooking and catering industry association;

(4) The maximum age of the president, vice-president and secretary-general shall not exceed 70, and the secretary-general shall be full-time;

(5) Being healthy and able to stick to normal work;

(6) It has not been punished by deprivation of political rights;

(7) Having full capacity for civil conduct.

Article 25 If the president, vice-president and secretary-general of the Association are over the working age, they shall be approved by the Council, reported to the competent business unit for examination, and approved by the registration authority of the Association before taking up their posts.

Article 26 The term of office of the President, Vice-President and Secretary-General of this Association shall be five years, with a maximum of two terms. If it is necessary to extend the term of office due to special circumstances, it must be agreed by more than two-thirds of the members' congress, reported to the competent business unit for review, and approved by the registration authority of the association before taking office.

Article 27 The president of this Association shall be the legal representative of this Association, and the legal representative of this Association shall not concurrently serve as the legal representative of other organizations.

Article 28 The President of this Association shall exercise the following functions and powers:

(1) Convening and presiding over the office meetings of the Council, the Standing Council and the President; Nominate consultants of the Association and submit them to the President's Office for decision;

(two) to check the implementation of the resolutions of the members' congress, the Council, the Standing Council and the president's office meeting;

(three) regularly and irregularly report to the honorary president of the association, invited consultants and consulting experts, and listen to their opinions.

(4) Signing relevant important documents on behalf of the Association.

Article 29 The Secretary-General of this Association shall exercise the following functions and powers:

(a) presided over the association offices to carry out daily work, organize the implementation of the annual work plan;

(2) Coordinating the work of branches, representative offices and entities;

(3) Nominating the Deputy Secretary-General and the principal responsible persons of offices, branches, representative offices and units, and submitting them to the Standing Council for decision;

(four) to decide on the employment of full-time staff in various offices, representative offices and entities;

(5) Handle other daily affairs.

Chapter V Principles of Asset Management and Use

Thirtieth sources of funds of this Association:

(1) membership fees;

(2) Funding and donation;

(3) Income from activities and services within the approved business scope;

(4) interest;

(5) Other lawful income.

Article 31 the association collects membership fees in accordance with relevant state regulations.

Article 32 the funds of this association must be used for the business scope and career development as stipulated in the articles of association, and shall not be distributed among members.

Article 33 An association shall establish a strict financial management system to ensure the legality, truthfulness, accuracy and completeness of accounting data.

Article 34 The Association shall be equipped with qualified accountants. Accounting personnel shall not concurrently serve as cashiers. When an accountant transfers his job or leaves his post, he must go through the handover procedures with the recipient.

Article 35 The asset management of this Association must implement the financial management system stipulated by the state and accept the supervision of the members' congress and the financial department. If the source of assets belongs to state appropriation or social donation or subsidy, it must accept the supervision of audit institutions and disclose relevant information in an appropriate way.

Article 36 Before changing its term of office or changing its legal representative, the association must accept the financial audit organized by the social registration administration organ and the competent business unit.

Article 37 No unit or individual may occupy, privately divide or misappropriate the assets of this Association.

Article 38 The wages, insurance and welfare benefits of the full-time staff of this Association shall be implemented with reference to the provisions of relevant state institutions.

Chapter VI Procedures for Amending the Articles of Association

Thirty-ninth amendments to the articles of association of this association must be approved by the Council and reported to the members' congress for deliberation.

Article 40 The revised articles of association of this Association shall come into effect within 15 days after being approved by the members' congress, examined and approved by the competent business unit and reported to the association registration authority.

Chapter VII Emblem

Article 41 The emblem of this Association is red, with the wok spoon originated in Shandong in the middle and the English words of Shandong Cuisine Association around it.

Chapter VIII Termination Procedure and Property Disposal after Termination

Forty-second after the completion of the purpose plan, if the association is dissolved by itself or needs to be cancelled for other reasons, the Council or the Standing Council will propose a termination motion.

Article 43 The motion to terminate this Association shall be voted by the members' congress and submitted to the competent business unit for examination and approval.

Forty-fourth before the termination of this association, a liquidation organization should be established under the guidance of the competent business unit and relevant authorities to clear debts and deal with the aftermath. During the liquidation period, no activities other than liquidation will be carried out.

Article 45 this association shall be terminated after the cancellation of registration by the association registration authority.

Article 46 The surplus property after the termination of the association shall be used for the development of undertakings related to the purpose of the association under the supervision of the competent business unit and the organization registration authority in accordance with the relevant provisions of the state.

Chapter IX Supplementary Provisions

Article 47 The Articles of Association was adopted by the members' congress on July 29, 2003.

Article 48 The right to interpret the Articles of Association belongs to the Council.

Article 49 The Articles of Association shall come into force as of the date of approval by the registration authority of associations.
