Article 1 These Regulations are formulated in order to standardize the organization and activities of foundations, safeguard the legitimate rights and interests of foundations, donors and beneficiaries, and promote social forces to participate in public welfare undertakings.

Article 2 The term "foundation" as mentioned in these Regulations refers to a non-profit legal person established for the purpose of engaging in public welfare undertakings by using the property donated by natural persons, legal persons or other organizations in accordance with the provisions of these Regulations.

Article 3 Foundations are divided into public offering foundations and non-public offering foundations. According to the geographical scope of fundraising, public offering foundations are divided into national public offering foundations and local public offering foundations.

Article 4 Foundations must abide by the Constitution, laws, regulations, rules and national policies, and may not endanger national security, unity and national unity, or violate social morality.

Article 5 The foundation shall follow the principle of openness and transparency when engaging in public welfare activities in accordance with its articles of association.

Article 6 The civil affairs departments of the State Council and the people's governments of provinces, autonomous regions and municipalities directly under the Central Government are the registration and management organs of foundations.

The State Council Civil Affairs Department is responsible for the registration management of the following foundations and foundation representative offices:

(1) National public offering foundation.

(2) Foundations with non-mainland residents as their legal representatives;

(three) the original fund of more than 20 million yuan, the promoters to the civil affairs department of the State Council to apply for the establishment of non Public Offering of Fund;

(4) The representative offices established in Chinese mainland by overseas foundations.

The civil affairs departments of the people's governments of provinces, autonomous regions and municipalities directly under the Central Government shall be responsible for the registration and management of mainland public and non-public foundations that do not fall under the circumstances specified in the preceding paragraph.

Article 7 The relevant departments in the State Council or organizations authorized by the State Council are the competent business units of foundations and representative offices of overseas foundations registered by the civil affairs department of the State Council.

The relevant departments of the people's governments of provinces, autonomous regions and municipalities directly under the Central Government or organizations authorized by the people's governments of provinces, autonomous regions and municipalities directly under the Central Government are the competent business units of foundations registered by the civil affairs departments of the people's governments of provinces, autonomous regions and municipalities directly under the Central Government.

Chapter II Establishment, Alteration and Cancellation

Article 8 To establish a foundation, the following conditions shall be met:

Article 9 To apply for the establishment of a foundation, the applicant shall submit the following documents to the registration authority:

(1) an application;

(2) Draft articles of association;

(3) capital verification certificate and residence certificate;

(4) The list of directors, identity certificates and resumes of the proposed chairman, vice-chairman and secretary-general;

(5) The document that the competent business unit agrees to set up.

Article 10 The articles of association of a foundation must specify the public welfare nature of the foundation, and may not specify the contents that will benefit specific natural persons, legal persons or other organizations.

The articles of association of the foundation shall specify the following items:

(1) Name and domicile;

(two) the purpose and business scope of the public welfare activities;

(3) The original fund amount;

(4) The composition, powers and rules of procedure of the school board, qualifications of directors, procedures for formation and term of office.

(five) the responsibilities of the legal representative;

(six) the duties, qualifications, procedures and term of office of the supervisor.

(seven) the preparation and examination system of financial and accounting reports;

(eight) property management and use system;

(nine) the conditions and procedures for the termination of the foundation and the disposal of the property after termination.

Article 11 The registration authority shall, within 60 days from the date of receiving all valid documents listed in Article 9 of these Regulations, make a decision on whether to approve or disapprove the registration. If the registration is approved, it shall be issued with the Certificate of Registration of Foundation as a Legal Person; If the registration is not granted, the reasons shall be explained in writing.

The contents of foundation establishment registration include: name, domicile, type, purpose, business scope of public welfare activities, original fund amount and legal representative.

Article 12 When a foundation establishes a branch or representative office, it shall file an application for registration with the original registration authority, and submit documents such as the name, domicile and person-in-charge of the proposed institution.

The registration authority shall, within 60 days from the date of receiving all valid documents listed in the preceding paragraph, make a decision on whether to approve or disapprove the registration. If the registration is approved, the registration certificate of the branch (representative) of the foundation shall be issued; If the registration is not granted, the reasons shall be explained in writing.

The establishment registration of branches and representative offices of the foundation includes: name, domicile, business scope of public welfare activities and person in charge.

Branches and representative offices of the foundation carry out activities according to the authorization of the foundation and do not have legal person status.

Article 13 To establish a representative office in the mainland of China, an overseas foundation shall submit the following documents to the registration authority after obtaining the consent of the relevant competent business units:

(1) an application;

(two) the certificate of the foundation's legal registration and establishment abroad and the articles of association of the foundation;

(3) The identity certificate and resume of the person in charge of the proposed representative office;

(4) proof of residence;

(5) The document that the competent business unit agrees to set up a representative office in the mainland of China.

The registration authority shall, within 60 days from the date of receiving all valid documents listed in the preceding paragraph, make a decision on whether to approve or disapprove the registration. If the registration is approved, the Registration Certificate for Representative Offices of Overseas Foundations shall be issued; If the registration is not granted, the reasons shall be explained in writing.

The establishment and registration of representative offices of overseas foundations include: name, domicile, business scope of public welfare activities and person in charge.

The representative offices of overseas foundations shall engage in public welfare activities that conform to the nature of public welfare undertakings within the territory of China. Overseas foundations shall bear civil liability for the civil acts of their representative offices in the mainland of China in accordance with the laws of China.

Fourteenth foundations and overseas representative offices of foundations shall, after registration in accordance with these regulations, handle tax registration according to law.

The representative offices of foundations and overseas foundations shall apply for the organization code, seal engraving and bank account opening according to law with the registration certificate.

The representative offices of foundations and overseas foundations shall report the organization code, seal style, bank account number and tax registration certificate to the registration authority for the record.

Article 15 Where the registered items of a foundation, a branch of a foundation, a representative office of a foundation or a representative office of an overseas foundation need to be changed, they shall apply to the registration authority for registration of change.

The foundation shall obtain the consent of the competent business unit and report to the registration authority for approval when amending its articles of association.

Article 16 In any of the following circumstances, a foundation or a representative office of an overseas foundation shall apply to the registration authority for cancellation of registration:

(1) Termination in accordance with the articles of association;

(two) unable to continue to engage in public welfare activities in accordance with the purposes stipulated in the articles of association;

(3) Termination for other reasons.

Article 17 Where a foundation revokes a branch or representative office, it shall go through the cancellation of registration of the branch or representative office with the registration authority.

If the foundation is cancelled, its branches and representative offices shall be cancelled at the same time.

Article 18 Before going through the cancellation of registration, a foundation shall set up a liquidation organization under the guidance of the registration authority and the competent business unit to complete the liquidation work.

The foundation shall cancel the registration with the registration authority within 15 days from the date of liquidation; Activities other than liquidation shall not be carried out during the liquidation period.

Article 19 The establishment, alteration and cancellation of registration of foundations, foundation branches, foundation representative offices and overseas foundation representative offices shall be announced to the public by the registration administration organ.

Chapter III Organizational Structure

Article 20 The Foundation shall have a board of directors with 5 to 25 directors. The term of office of directors shall be stipulated in the articles of association, but each term shall not exceed 5 years. Upon expiration of the term of office, directors may be re-elected.

For a non-public offering foundation established with private property, the total number of directors of the foundation with close relatives shall not exceed1/3 of the total number of directors; Other foundations with close relatives may not serve on the board of directors at the same time.

Directors receiving remuneration from the Foundation shall not exceed 1/3 of the total number of directors.

The board of directors shall have a chairman, a vice-chairman and a secretary-general, elected from among the directors. The chairman is the legal representative of the foundation.

Article 21 The Council is the decision-making body of the Foundation, and it shall exercise its functions and powers as stipulated in the Articles of Association according to law.

The Council shall meet at least twice a year. Board meetings can only be held when more than two thirds of the directors are present; The resolution of the board of directors shall be valid only if it is approved by more than half of the directors present.

Resolutions on the following important matters shall be valid only after being voted by the directors present at the meeting and approved by more than two thirds of the directors:

(1) Amending the Articles of Association;

(two) to elect or recall the chairman, vice chairman and secretary general;

(3) Major fund-raising and investment activities stipulated in the articles of association;

(4) Division and merger of foundations.

Minutes of meetings of the board of directors shall be made, which shall be reviewed and signed by the directors present.

Article 22 The Foundation shall have supervisors. The term of office of a supervisor is the same as that of a director. Directors of the foundation, their close relatives and accountants may not concurrently serve as supervisors.

The supervisor shall check the financial and accounting information of the Foundation in accordance with the procedures stipulated in the Articles of Association, and supervise the compliance of the Board of Directors with laws and articles of association.

The supervisor has the right to raise questions and suggestions to the board of directors, and report the situation to the registration authority, the competent business unit and the competent tax and accounting departments.

Twenty-third the chairman, vice chairman and secretary general of the foundation shall not be concurrently held by the current state staff. The legal representative of the foundation shall not be the legal representative of other organizations at the same time. The legal representatives of public foundations and non-public foundations whose original funds come from Chinese mainland shall be mainland residents.

If he is sentenced to public surveillance, criminal detention or fixed-term imprisonment for a crime, and the punishment has not been completed for more than five years, if he is sentenced to or deprived of political rights for a crime, if he has served as the chairman, if his registration has been revoked for violation of the law and he is personally responsible for the illegal acts of the foundation, if it is less than five years since the date of revocation of the foundation, he may not serve as the chairman, vice-chairman or secretary-general of the foundation.

The directors of the foundation shall not participate in the decision-making of related matters when their personal interests are related to the interests of the foundation; Directors, supervisors and their close relatives of the Foundation shall not engage in any transactions with the Foundation.

Supervisors and directors who do not hold full-time positions in the foundation shall not receive remuneration from the foundation.

Twenty-fourth Hong Kong residents, Macao residents, Taiwan Province residents, foreigners and heads of overseas foundation representative offices who serve as the chairman, vice chairman or secretary general of the foundation shall stay in the mainland for not less than three months each year.

Chapter IV Management and Use of Property

Article 25 A foundation shall organize fund-raising and accept donations in accordance with the purpose stipulated in the articles of association and the business scope of public welfare activities. The representative offices of overseas foundations shall not organize fund-raising and accept donations within the territory of China.

When a public offering foundation organizes fund-raising, it shall announce to the public the detailed plan for the public welfare activities and the use of funds to be carried out after fund-raising.

Article 26 foundations, their donors and beneficiaries shall enjoy preferential tax treatment in accordance with the provisions of laws and administrative regulations.

Article 27 The property and other income of the Foundation shall be protected by law, and no unit or individual may privately divide, occupy or misappropriate it.

The foundation shall use the property in accordance with the purpose stipulated in the articles of association and the business scope of public welfare activities; The donation agreement stipulates the specific purpose of the donation and shall be used in accordance with the provisions of the donation agreement.

When the donated materials cannot be used for purposes, the foundation can auction or sell them according to law, and the income will be used for donation purposes.

Article 28 A foundation shall maintain and increase the value of the fund in accordance with the principles of legality, safety and effectiveness.

Twenty-ninth Public Offering of Fund should be used to engage in public welfare undertakings as stipulated in the articles of association every year, and not less than 70% of the total income of the previous year; Non-public offering foundations shall use not less than 8% of the fund balance of the previous year for public welfare undertakings as stipulated in the articles of association.

The salary, welfare and administrative expenses of the staff of the Foundation shall not exceed 10 of the total expenditure of the current year.

Thirtieth foundation to carry out public welfare funded projects, should be announced to the public the types of public welfare funded projects, as well as the application and evaluation procedures.

Article 31 A foundation may sign an agreement with the donee to stipulate the mode, amount, purpose and use of the grant.

The foundation has the right to supervise the use of grants. If the donee fails to use the grant as agreed in the agreement or violates the agreement in other ways, the Foundation has the right to terminate the grant agreement.

Article 32 A foundation shall implement a unified national accounting system, conduct accounting according to law, and establish and improve an internal accounting supervision system.

Article 33 The remaining property after the cancellation of the foundation shall be used for public welfare undertakings in accordance with the provisions of the articles of association; If it cannot be handled in accordance with the articles of association, the registration authority shall donate to social welfare organizations with the same nature and purpose as the foundation, and make an announcement to the public.

Chapter V Supervision and Administration

Article 34 The foundation registration authority shall perform the following duties of supervision and administration:

(1) Conducting annual inspection on the representative offices of foundations and overseas foundations;

(2) Daily supervision and management of the activities of foundations and representative offices of overseas foundations in accordance with these Regulations and their articles of association;

(3) Punishing the acts of foundations and representative offices of overseas foundations in violation of these Regulations according to law.

Article 35 The competent business unit of a foundation shall perform the following duties of supervision and management:

(a) to guide and supervise the foundation and the representative offices of overseas foundations to carry out public welfare activities in accordance with laws and articles of association;

(two) to be responsible for the preliminary examination of the annual inspection of the representative offices of foundations and overseas foundations;

(three) to cooperate with the registration authority and other law enforcement departments to investigate and deal with illegal acts of foundations and representative offices of overseas foundations.

Thirty-sixth foundations and representative offices of overseas foundations shall submit the work report of the previous year to the registration authority before March 3 1 every year for annual inspection. The annual work report shall be submitted to the registration authority after examination and approval by the competent business unit.

The annual work report shall include: financial accounting report, CPA audit report, fund-raising, accepting donations, providing financial assistance and other activities, as well as changes in personnel and institutions.

Article 37 A foundation shall accept the tax supervision and accounting supervision carried out by the competent tax and accounting departments according to law.

Before the foundation changes its legal representative, it shall conduct a financial audit.

Thirty-eighth foundations and representative offices of overseas foundations shall, after passing the annual inspection by the registration authority, publish their annual work reports in the media designated by the registration authority and accept inquiries and supervision from the public.

Thirty-ninth donors have the right to inquire about the use and management of donated property from the Foundation, and put forward opinions and suggestions. The foundation shall give a timely and true answer to the donor's inquiry.

If the foundation uses the donated property in violation of the donation agreement, the donor has the right to require the foundation to abide by the donation agreement or apply to the people's court to cancel the donation or terminate the donation agreement.

Chapter VI Legal Liability

Article 40 If an activity is carried out in the name of a foundation, a branch of a foundation, a representative office of a foundation or a representative office of an overseas foundation without registration or cancellation of registration, it shall be banned by the registration administration organ, and the illegal property shall be confiscated and announced to the public.

Article 41 The registration authority shall cancel the registration of a foundation, a branch of a foundation, a representative office of a foundation or a representative office of an overseas foundation under any of the following circumstances:

(a) practicing fraud when applying for registration, or failing to carry out activities in accordance with the provisions of the articles of association within 12 months from the date of obtaining the registration certificate;

(two) in line with the cancellation conditions, not in accordance with the provisions of this Ordinance for cancellation of registration and continue to carry out activities.

Forty-second foundations, foundation branches, foundation representative offices and overseas foundation representative offices shall be given a warning by the registration administration organ and ordered to stop their activities. If the circumstances are serious, the registration may be revoked:

(a) failing to carry out activities in accordance with the purpose and business scope of public welfare activities as stipulated in the articles of association;

(2) practicing fraud in filling in accounting vouchers, registering accounting books and preparing financial and accounting reports;

(3) Failing to go through the registration of change in accordance with the provisions;

(four) did not complete the public welfare expenditure quota in accordance with the provisions of this Ordinance;

(five) failing to accept the annual inspection in accordance with the provisions of these regulations, or failing to pass the annual inspection;

(6) Failing to fulfill the obligation of information disclosure or publishing false information.

If a foundation or representative office of an overseas foundation commits one of the acts listed in the preceding paragraph, the registration administration organ shall request the tax authorities to order it to make up for the tax relief enjoyed during the existence of the illegal act.

Article 43 If the board of directors of the Foundation violates the provisions of these Regulations and Articles of Association and makes improper decisions, thus causing property losses to the Foundation, the directors who participated in the decision-making shall bear the corresponding liability for compensation.

If the directors, supervisors and full-time staff of the foundation privately divide, occupy or misappropriate the property of the foundation, they shall return the illegally occupied property; If a crime is constituted, criminal responsibility shall be investigated according to law.

Forty-fourth foundations and representative offices of overseas foundations are ordered to stop their activities, and their registration certificates, seals and financial vouchers shall be sealed by the registration administration organ.

Forty-fifth staff of the registration authority and the competent business unit abuse their powers, neglect their duties and engage in malpractices for selfish ends, which constitutes a crime, and shall be investigated for criminal responsibility according to law; If it does not constitute a crime, it shall be given administrative sanctions or disciplinary sanctions according to law.

Chapter VII Supplementary Provisions

Article 46 The term "overseas foundations" as mentioned in these Regulations refers to foundations established in foreign countries and People's Republic of China (PRC) Hong Kong Special Administrative Region, Macao Special Administrative Region and Taiwan Province Province according to law.

Article 47 The application form for establishing a foundation, the format of the annual work report of the foundation and the model articles of association of the foundation shall be formulated by the civil affairs department of the State Council.

Article 48 These Regulations shall come into force on June 1 2004, and the Measures for the Administration of Foundations promulgated by the State Council on September 27th 1988 shall be abolished at the same time.

Foundations and representative offices of overseas foundations established before the implementation of these Regulations shall, within six months from the date of implementation of these Regulations, apply for renewal of registration certificates in accordance with the provisions of these Regulations.
