The Company Law does not restrict state-owned enterprises from investing in hotels, but Article 3 of the Partnership Enterprise Law stipulates that wholly state-owned companies, state-owned enterprises, listed companies, public welfare institutions and social organizations may not become general partners. In other words, if the hotel adopts the company system, then state-owned enterprises can invest. If the general partnership system is adopted, it cannot be invested and operated as a general partner. The difference between state-owned hotels and private hotels lies in the investor. The investor of state-owned hotels is state-owned, and the shareholders are state-owned enterprises, or at least the controlling shareholders are state-owned enterprises. The investment shareholders of private hotels are private enterprises or individual natural persons. Hotel owners of state-owned enterprises represent state management companies and are appointed by relevant state departments or their superior state-owned enterprises, while owners of private enterprises are determined by the major shareholders who contribute.
