Articles of Association of Shijiazhuang Photographers Association

Chapter I General Provisions

Article 1 The name of this group is Shijiazhuang Photographers Association.

Article 2 The nature of this group: A mass organization voluntarily combined by photographers, photographers and photographers in our city is a professional non-profit social organization. .

Article 3 Purpose of the League: Under the leadership of China, the League adheres to Marxism–Leninism, Mao Zedong Thought, Deng Xiaoping Theory and Theory of Three Represents, adheres to the Four Cardinal Principles, abides by the Constitution, laws, regulations and national policies, and abides by social morality; The troupe adheres to the direction of "two ones", implements the policy of "letting a hundred flowers blossom", unites photographers in the city and works hard for the prosperity of literature and art, material civilization, political civilization and spiritual civilization in our city. .

Article 4 This group participates in the Shijiazhuang Federation of Literary and Art Circles as a group member and accepts its leadership; Join the provincial photographers association in the form of a group and accept its leadership; Accept the business guidance, supervision and management of Shijiazhuang Civil Affairs Bureau. .

Chapter II Scope of Business

Article 6 The main business of this Association is: (1) organizing members to go deep into life and create photography art; (2) Strengthen theoretical research and do a good job in promotion and improvement; . (3) Produce more excellent products, take patriotism as the main theme, publicize new people and new things in socialist construction, and "drum" and "shout" for deepening reform and opening up and invigorating the spirit; (four) actively organize members to participate in various photographic art exhibitions, competitions and academic exchanges held throughout the country and the province, encourage everyone to study hard, explore boldly, emancipate their minds, and advocate the diversification of themes, genres and forms and the diversification of different artistic styles and schools; (5) Actively discover and cultivate new forces, and support "top talents" to continuously expand the photography team in our city.

Chapter III Members

Article 7 Members of this group are individual members.

Article 8 To apply for joining this group, the following conditions must be met: (1) Support the articles of association of this group; (two) have the will to join this group; (three) has a certain influence in the business (industry, discipline) of this group; (four) at least eighteen years of age; (five) my photographic works have participated in more than one provincial exhibition, or published more than three artistic photos in provincial newspapers; (six) won the second prize or participated in more than three exhibitions organized by the association; (7) My photographic paper has been published in provincial newspapers more than once. (eight) I am engaged in organizational leadership, as well as theoretical research, editing, teaching or darkroom production, and have achieved certain results or have a certain reputation in this city.

Article 9 The procedures for joining the club are as follows: (1) Members of the club introduce and submit an application for joining the club and three photos of 5-8 inch delegates; (2) It was discussed and approved by the Presidium Committee of this Association; (3) Members of the National and Provincial Photographers Association are ex officio members of the Association; (4) If a member of a brother regional association is transferred to work in this city, the level of the local association is equivalent to that of this association, and it can be accepted as a member upon my application. Under special circumstances, the association has the right to directly recruit members. (5) The membership card shall be issued by the Council or an institution authorized by the Council.

Article 10 Members shall enjoy the following rights: (1) The right to vote, to be elected and to vote; (two) to participate in the activities of this association; (three) to obtain the priority of our services; (four) have the right to criticize, suggest and supervise the work of this association; (5) Freedom to join and quit voluntarily.

Article 11 Members shall perform the following obligations: (1) Implementing the resolutions of this Association; (two) to safeguard the legitimate rights and interests of the association; (three) to complete the work assigned by the group and obey the in-depth life, creation, theoretical research and social activities organized by the group; (four) the implementation of life-long membership fee system, new and old members pay a one-time membership fee; (five) to reflect the situation to this Council and provide relevant information;

Article 12 When a member withdraws from the meeting, he shall notify the group in writing and return his membership card.

Article 13 If a member seriously violates the articles of association, is deprived of political rights due to serious violation of laws and regulations, or fails to participate in various activities organized by this group or pay membership fees for two years, he shall be removed from the list upon the approval of the presidium committee.

Chapter IV Establishment and Cancellation of Institutions and Responsible Persons

Article 14 The highest authority of this group is the general meeting (or representative meeting). The functions and powers of the general assembly (or congress) are: (1) to formulate and amend the articles of association; (2) Electing and dismissing directors; (three) to consider the work report and financial report of the Council; (4) Deciding to terminate.

Article 15 A general meeting of members (or representatives of members) can only be held when more than two thirds of the members (or representatives of members) are present, and its resolutions can only take effect when more than half of the members (or representatives of members) present at the meeting vote.

Article 16 The general meeting of members (or representative meeting of members) shall be held once every five years. If it is necessary to advance or postpone the general election due to special circumstances, it shall be voted by the board of directors, reported to the competent business unit for review, and approved by the association registration authority. However, the term of office shall not be extended for more than one year.

Article 17 The Council is the executive body of the general assembly (or representative assembly), leading the group to carry out daily work during the intersessional period and being responsible for the general assembly (or representative assembly).

Article 18 The functions and powers of the Council are: (1) to implement the resolutions of the general meeting of members (or the general meeting of members' representatives); (two) to elect and recall the chairman, vice chairman and secretary general; (3) Preparing for convening a general meeting of members (or a general meeting of members' representatives); (four) to report the work and financial situation to the members' congress; (five) to decide to absorb or recall members; (6) Deciding to establish offices, branches, representative offices and entities; (seven) to decide the appointment and removal of the Deputy Secretary General and the principal responsible persons of various institutions; (eight) to lead the work of the institutions of this Association; (nine) to formulate internal management system.

Article 19 The board of directors shall be convened only when more than two thirds of the directors are present, and its resolutions shall take effect only when more than two thirds of the directors are present.

Article 20 The Council shall convene a meeting at least once a year, and it may also be convened by means of communication under special circumstances.

Article 21 The Association shall set up a presidium committee (if there are a large number of directors, a presidium committee may be set up). The presidium committee is elected by the board of directors. When the board of directors is not in session, it shall exercise the functions and powers of Item 1, Item 3, Item 5, Item 6, Item 7, Item 8 and Item 9 of Article 10 and be responsible to the board of directors (the number of members of the presidium shall not exceed one third of the number of directors).

Article 22 The Presidium Committee shall be convened only when more than two-thirds of the executive directors are present, and its resolution shall take effect only when more than two-thirds of the Presidium members present at the meeting vote.

Twenty-third presidium and meeting shall be held at least once every six months, and special circumstances may also be held in the form of communication.

Article 24 The chairman, vice-chairman and secretary-general of this group must meet the following conditions: (1) Adhere to the party's line, principles and policies and have good political quality; (2) It has great influence in the business field of the Group; (3) The maximum age of the chairman, vice-chairman and secretary-general shall not exceed 60; (4) Being in good health and able to stick to normal work; (5) Having not been subjected to criminal punishment of deprivation of political rights; (6) Having full capacity for civil conduct.

Article 25 The chairman, vice-chairman and secretary-general of the Association shall be approved by the Council, reported to the competent business unit for review and approved by the registration authority of the Association before taking up their posts.

Article 26 The term of office of the President, Vice-President and Secretary-General of this Association is five years (the term of office of the President, Vice-President and Secretary-General shall generally not exceed two terms). If it is necessary to postpone due to special circumstances, it must be voted by more than two-thirds of the members' representatives at the members' congress, reported to the competent business unit for review, and approved by the association registration authority before taking up the post.

Article 27 The president of this Association is the legal representative of this Association. The legal representative of this group does not concurrently serve as the legal representative of other groups.

Article 28 The chairman of this Association shall exercise the following functions and powers: (1) Convene and preside over the Council (or the presidium committee); (two) to check the implementation of the resolutions of the General Assembly (or Congress) and the Council (Presidium Committee); (3) Sign relevant important documents on behalf of the group.

Article 29 The Secretary-General of this group shall exercise the following functions and powers: (1) Preside over the daily work of the office and organize the implementation of the annual work plan; (2) Coordinating the work of branches, representative offices and entities; (3) Nominating the Deputy Secretary-General and the principal responsible persons of offices, branches, representative offices and units, and submitting them to the meeting of the Council or the presidium for decision; (four) to decide on the employment of full-time staff of offices, representative offices and entities.

Chapter V Principles of Asset Management and Use

Article 30 The sources of funds of this Association are: (1) State funds; (2) membership fee; (3) social assistance; (4) Income from activities or services provided within the approved business scope. (5) interest.

Thirty-first this group collects membership fees in accordance with the relevant provisions of the state.

Article 32 The funds of this group must be used for the business scope and career development as stipulated in the articles of association, and shall not be distributed among members.

Article 33 The Group shall establish a strict financial management system to ensure the legality, truthfulness, accuracy and completeness of accounting data.

Article 34 The accountants of the Group must conduct accounting and exercise accounting supervision. When an accountant transfers his job or leaves his post, he must go through the handover procedures with the recipient.

Article 35 The assets management of the Group must implement the financial management system stipulated by the state and accept the supervision of the general meeting (or representative meeting) and the financial department. If the source of assets belongs to state grants or social donations, it must accept the supervision of audit institutions and publish relevant information to the public in an appropriate way.

Article 36 Before a group changes or changes its legal representative, it must accept the financial audit organized by the organization registration authority and the competent business unit.

Article 37 No unit or individual may occupy, privately divide or misappropriate the assets of this group.

Article 38 All members of this group are part-time workers, all of whom are voluntary workers.

Chapter VI Procedures for Amending the Articles of Association

Thirty-ninth amendments to the articles of association of this group must be approved by the Council and reported to the general meeting (or representative meeting) for consideration.

Article 40 The revised Articles of Association of the Organization shall come into effect within 15 days after it is adopted by the general meeting of members (or congress), agreed by the competent business unit and approved by the organization registration authority.

Chapter VII Termination Procedure and Property Disposal after Termination

Article 41 If a group completes its purpose or is dissolved or needs to be revoked due to division or merger, the board of directors or the presidium shall propose a motion for termination.

Forty-second the proposal to terminate the group must be approved by the members' meeting (or the members' congress) and reported to the competent business unit for approval.

Forty-third before the termination of this group, a liquidation organization must be established under the guidance of the competent business unit and the relevant authorities to clean up the creditor's rights and debts and deal with the aftermath. During the liquidation period, no activities other than liquidation will be carried out.

Forty-fourth this group is terminated after the cancellation of registration by the association registration management machine.

Forty-fifth after the termination of the group's remaining property, under the supervision of the competent business unit and the group registration authority, in accordance with the relevant provisions of the state, for the development of undertakings related to the purpose of the group.

Chapter VIII Supplementary Provisions

Article 46 The Articles of Association was adopted by the shareholders' meeting (or representative meeting) on April 6, 2005.

Article 47 The right to interpret the Articles of Association belongs to the Council of the Organization.

Article 48 The Articles of Association shall come into force as of the date of approval by the registration authority of associations.
