Instructions for registration of social organizations
A social organization refers to a non-profit social organization formed voluntarily by citizens of China and carrying out activities in accordance with its articles of association to realize the common aspirations of its members.
Trade association refers to economic organizations engaged in economic activities of the same nature, and non-profit social organizations voluntarily organized to safeguard common legitimate economic interests.
The establishment of the association is divided into two stages:
First, the preparation stage.
With the consent of the relevant competent business units, the promoters shall submit the relevant documents for the establishment of social organizations to the registration authority, and fill in the Application Form for the Establishment of Social Organizations.
To apply for the establishment of a trade association, the promoters shall first submit an application for the establishment to the registration authority.
(1) Necessary consultation
1, Guangdong Provincial Department of Civil Affairs is the administrative authority in charge of the registration and management of provincial associations, and is responsible for providing consulting services for the bid of provincial associations.
2. The main sponsors of the winning association can make relevant inquiries to the association registration authority, including: relevant laws, regulations and policies, name drafting, centralized management by the competent business unit, preparation of written materials, etc.
3. Organize the registration authority to confirm the identity of the main sponsor, after listening to the main intentions of visitors, preach laws and regulations, answer questions and make records.
4. If the competent business unit is not clear during the negotiation, it can be put forward by the registration authority in combination with the actual situation of the tendering society. The centralized proposal is mainly put forward according to the actual situation of the Ministry of Civil Affairs and the provincial party committee and government in determining the requirements of the competent business unit and the main intention, main body composition, nature and characteristics, types and categories of the bidding organizations.
(two) the materials submitted by social organizations for the preparation.
1. Prepare the application. Its contents include:
(1) The necessity and feasibility of establishing this social group;
(2) The purpose and business scope of social organizations;
(3) the fields and ways of activities of social groups;
(4) Activities funds and sources of funds;
Local social organizations and cross-administrative social organizations have more than 30 thousand yuan of activity funds.
(5) Members of the development of social organizations and their distribution.
The application for preparation submitted by the applicant to the registration authority shall be signed and sealed by the main sponsor or sponsor.
2. The competent business unit shall review and approve the preparation documents.
3. Proof of the right to use the office residence.
The main office of the social organization applying for preparation is the residence. If the house is purchased by itself, proof of property right shall be provided. If it is leased, proof of the right to use such as the lease contract shall be provided. The certificate of the property right or the certificate of the right to use the house shall include the service period, area, address, postal code and contact telephone number of the house.
4. Capital verification report.
The capital verification report is a document to prove the capital status of the social organization applying for preparation. The capital verification report shall be issued by legal social capital verification institutions and accounting firms.
5. Basic information of the promoters (promoters) and the persons to be appointed.
To prepare for the establishment of a spontaneous general social organization, there must be more than 5 promoters or promoters. To prepare for the establishment of an industry association, the promoters must be at least 8 people. The basic information of the sponsor and the person-in-charge to be appointed includes resume, identity certificate and copy of identity card (the person-in-charge to be appointed refers to the president, vice president and secretary general of the association to be appointed). Sponsors must provide a copy of their profile, business license or registration certificate of institutions or non-governmental organizations.
6. Draft Articles of Association
The articles of association of a trade association shall be standardized with reference to the model text of the articles of association of the trade association, and the draft articles of association of other associations shall be drawn up with reference to the model text of the articles of association of social organizations.

7. List of future members. Individual members, need more than 50 people; Unit members, must be more than 30; Individual members and unit members need more than 50 people/home.
8. Fill in the Application Form for Preparing to Establish a Social Organization (in triplicate).
9. When applying for the establishment of a trade association, the following materials shall be submitted: an application for the establishment; Proof of residence; Basic information, business license and business certificate of the promoters in the last two years; Draft articles of association, profile of the person-in-charge to be appointed and a copy of the ID card; List of members to be recommended (more than 50 unit members).
(3) Application for acceptance
1. The promoters shall submit all the above written materials to the Provincial Administration of Civil Organizations for approval.
2. The association registration authority shall be deemed to have formally accepted the application from the date of receiving all the preparatory materials.
(4) Examination and approval of preparation.
If it is not a trade association, the registration authority shall make a decision of approval or disapproval within 60 days from the date of formal acceptance. For trade associations, the registration authority shall make a decision of approval or disapproval within 30 days from the date of formal acceptance. During this period:
1. The registration authority will review the authenticity and legality of the application materials, including on-the-spot investigation of the application contents and holding a forum for the main sponsors to understand the situation.
Under the following circumstances, a decision can be made not to approve or terminate the preparation:
(1) The purpose and business scope of the application for the preparation of social organizations do not conform to the provisions of Article 4 of the Regulations on the Registration and Administration of Social Organizations; (that is, violating the Constitution, laws, regulations and national policies, opposing the Four Cardinal Principles, endangering national security and national unity, damaging national interests, social public interests and the legitimate rights and interests of other organizations and citizens, and violating social morality; Engage in illegal business activities in the name of social organizations to seek benefits and disrupt economic order. )
(2) In the same administrative region, there is no need to establish social organizations with the same purpose and business scope;
(3) The sponsor or person in charge of applying for the preparation of a social organization is being or has been subjected to criminal punishment of deprivation of political rights, or does not have full capacity for civil conduct;
(four) the social organizations that apply for preparation resort to deceit and use false materials and false certificates to deceive the registration authority;
(5) Other circumstances prohibited by national laws and regulations.
2. Implement internal approval procedures.
3. If a decision on examination and approval is made, the registration authority shall explain the reasons to the sponsors; if it is not approved, it shall formally notify the sponsors; If the preparatory work is approved, all the preparatory work shall be completed within 6 months from the date of receiving the approval from the registration authority (convening a general meeting or a representative meeting of members, adopting the articles of association, producing the executive body, responsible person and legal representative, and reporting the completion of the preparatory work to the registration authority of the association in a timely manner).
The promoters of trade associations shall, after receiving the decision of preparation approved by the registration authority, issue a notice of preparation to the society through newspapers (usually Nanfang Daily for provincial trade associations) within one month, and accept the application for membership of economic organizations in the same industry.
Second, the establishment stage.
With the approval of the registration authority, the social organization to be established will convene a general meeting or congress within 6 months from the date of approval, adopt the articles of association, produce an executive body, a responsible person and a legal representative, apply to the registration authority for registration of establishment, and receive and fill in the Registration Form for Legal Persons of Social Organizations, the Approval Form for Articles of Association of Social Organizations, the Registration Form for Legal Representatives of Social Organizations and the Record Form for Responsible Persons of Social Organizations.

The registration authority shall complete the examination within 30 days from the date of receiving all valid materials for the establishment and registration of social organizations that have completed the preparatory work. For those who fail to register due to preparatory work or other problems, the applicant shall be informed of the decision not to register and explain the reasons. The applicant refuses to accept the decision not to register and has the right to apply for reconsideration.
Three. Materials required for the establishment of branches (representative offices)
A branch of a social organization is an institution established by a social organization to engage in a certain business activity of the social organization according to its activity needs, business scope or membership characteristics. Branches can be called branches, professional committees, working committees, special fund management committees, etc.
A representative office of a social organization is an institution established by a social organization outside its residence and within its activity area to carry out activities on behalf of the social organization and undertake matters assigned by the social organization. Representative offices can be called representative offices, offices, liaison offices, etc.
When a social organization establishes a branch or representative office, it shall, in accordance with the provisions of the articles of association, perform democratic procedures and, after examination and approval by the competent business unit, apply to the social organization registration authority responsible for registration. Activities can only be carried out after approval and registration by the registration authority.
Branches and representative offices of social organizations are components of social organizations and do not have the qualifications of legal persons, and their legal responsibilities shall be borne by social organizations that set up branches and representative offices.
Branches of social organizations shall develop their members and collect membership fees within the scope authorized by social organizations. The members they develop belong to social organizations, and the membership fees they collect belong to social organizations.
The names of branches and representative offices of social organizations shall be preceded by the names of social organizations; To carry out activities, the full name should be used. The English translation of branches and representative offices shall be consistent with the Chinese names.
(1) Conditions for establishing branches (representative offices)

2. Have a fixed residence;
3. It has the business scope stipulated in the articles of association.
(2) Materials required for the establishment of branches (representative offices)
1. Apply for establishment. The application shall include the reasons for the establishment, the business scope and tasks of the branches and representative offices.

4. Resolutions of the Council of Social Organizations or the Standing Council;

6. Opinions of the personnel department of the unit where the person-in-charge is to be appointed;
7. If the domicile of the representative office or branch of a social organization is different from that of the social organization, it shall also submit the opinions of the registration administration organ of the place to be established.
8. The establishment of special fund management committees by social organizations shall be handled in accordance with the Interim Provisions on the Establishment of Special Fund Management Institutions by Social Organizations.
9. Other materials required by the registration authority.
(three) the time limit for accepting the registration and examination of the establishment of branches (representatives)
The registration authority of an association shall make a decision of approval or disapproval within 60 days from the date of receiving all valid documents of the association. If registration is granted, the registration authority shall issue the Registration Certificate for Branches of Social Organizations or the Registration Certificate for Representative Organizations of Social Organizations; If it refuses to register, it shall notify the social organization in writing of the decision not to register and explain the reasons.
In any of the following circumstances, the registration authority shall not register:
1. The business scope of the branch to be established in a social organization is the same as or similar to that of the established branch;
2. The branch to be established is named as an administrative division with regional characteristics;
3. Branches and representative offices have branches and representative offices;
4. The business of the branch to be established has nothing to do with the purpose and business scope of the social group;
5. The activities and undertaking matters of the representative office to be established have nothing to do with the business scope of the social group;
6. The activity scope set by the branch or representative office to be established is beyond the activity area set by social organizations;
7. Other circumstances prohibited by laws and administrative regulations.
Fourth, the charging standard
