Chapter III Members

Article 8 Members of this Association are economic organizations that have obtained the business license of this Municipality according to law in this industry.

Car rental business enterprises as legal persons and relevant scientific research, education and other units can apply to join the association if they recognize its articles of association and abide by its rules.

Article 9 A member applying to join this Association must meet the following requirements:

(1) Supporting the articles of association;

(2) Having the will to join this Association;

(3) Having a certain influence in this industry;

(four) should hold a business license and other relevant documents.

Article 10 The membership procedure is:

(1) The applicant submits the application for membership and a copy of the business license of the enterprise;

(2) With the approval of the secretariat authorized by the board of directors, issue relevant membership certificates and bronze medals;

Article 11 Members shall enjoy the following rights:

(1) Attending the general meeting of members, participating in the activities of the Association and accepting the services provided by the Association;

Article 12 Members shall perform the following obligations

Article 13 the criteria for members to pay membership dues

(1) The annual membership fee paid by the president's unit is 5,000 yuan only;

(2) The vice-president unit pays an annual membership fee of 5,000 yuan;

(three) the annual membership fee paid by the executive director unit is 5000 yuan;

(4) The annual membership fee paid by the governing unit is 5,000 yuan;

(5) General member units pay annual membership dues of RMB 5,000.

Article 14 Members shall notify the Association in writing and return their membership cards. If a member fails to pay the membership fee for one year, and fails to apply in writing to the Association for extension or reduction, or the member unit fails to participate in the activities of the Association for no reason, it will be deemed as automatic withdrawal.

Fifteenth members who do not abide by the articles of association of this trade association shall be criticized and educated by this trade association; If there is a serious violation of the Articles of Association, it will be removed by voting at the shareholders' meeting.

Chapter IV Creation and Dismissal of Organizational Structure and Person in Charge

Article 16 This Association is composed of members, who are the highest authority of this trade association and exercise their functions and powers in accordance with national laws and regulations and the articles of association of this trade association.

Article 17 The general meeting of members shall exercise the following functions and powers

(1) To decide the business scope and work functions of the Association within the scope prescribed by laws and regulations;

(two) to elect or recall the president, vice president, secretary general, directors and supervisors;

(3) To review the annual work report and annual financial final accounts plan of the board of directors and the board of supervisors;

(four) to consider the recommendations of the Council on the recall of members;

(five) to decide on the alteration, dissolution and liquidation of the association;

(six) to change or cancel the inappropriate decisions of the Council;

(seven) to formulate or amend the articles of association and election methods of the organization;

(8) Deciding to terminate.

(9) Deciding on other major matters.

Article 18 If the general meeting of members has been held for four years and needs to be resumed or postponed in advance due to special circumstances, it must be approved by the board of directors and reported to Shenzhen Civil Affairs Bureau for approval, but the longest extension of the general meeting of members shall not exceed 1 year. The general meeting of members shall be held at least once every two years. If the Council considers it necessary or more than one-fifth of the members propose, an interim general meeting may be held.

Nineteenth members of the general assembly must be attended by more than two thirds of the members; Its resolution must be adopted by more than half of all members.

Article 20 The Association shall have a board of directors (the number of directors shall be one third of the members). The board of directors is the permanent body of the general assembly, and performs its duties in accordance with the resolutions of the general assembly and the Articles of Association when the general assembly is not in session.

Article 21 The functions and powers of the Council are:

(1) Preparing and convening the general meeting of members;

(two) to implement the resolutions of the general assembly and report to the general assembly;

(three) to decide on the specific work and business;

(four) to formulate the annual financial budget plan, final accounts plan, change, dissolution and liquidation plan of the Association;

(five) to formulate plans for increasing or decreasing the registered capital of the Association;

(six) to decide on the establishment of the internal organs of the association and lead the internal organs of the association to carry out their work;

(seven) to decide on the application for new members and the punishment of members, and put forward suggestions for the removal of members;

(8) To appoint or dismiss the Secretary-General; To decide on the principal responsible persons of the branches of the Association; According to the Secretary General

Article 22 The Council shall hold a meeting every six months (under special circumstances, it may also be held by correspondence). The board of directors can only be convened when more than half of the directors are present, and its resolutions can only take effect if they are passed by half of all the directors. The board of directors shall form minutes of the resolution and announce it to all directors.

The meeting of the Council shall be convened and presided over by the President; When the President is unable to perform his duties due to special reasons, the President shall entrust the Vice President or the Secretary General to convene and preside over the meeting. More than one-third of the directors may propose to convene a board meeting.

Article 23 If necessary, executive directors may be elected from among the directors (the number of executive directors is one third of the number of directors), and a standing council may be established, and the standing council shall be responsible to the council. The Standing Council consists of President, Vice President and Executive Director. When the Council is not in session, with the authorization of the Council, the Standing Council may exercise the first, second, third, fourth, fifth, sixth, seventh, eighth and ninth functions and powers stipulated in Article 21 of the Articles of Association, and the Standing Council shall hold a meeting at least once every three months; Special circumstances can also be held by means of communication. A resolution made by the Standing Council must be passed by more than half of the standing directors.

The Standing Council shall make minutes of the decisions on the matters discussed.

Article 24 Rules and procedures for the establishment of branches and representative offices of this Association:

(a) the rules and procedures for the establishment of branches are proposed by the secretariat of the trade association;

(two) submit the specific plan to the president's office for discussion and adoption;

(3) Submitting the adopted specific plan to the Council for deliberation and approval;

(four) reported to the social organization registration authority for examination and approval.

Article 25 The Department has a board of supervisors (the number of supervisors is 1), which is elected by the general meeting of members. The term of office of the board of supervisors is the same as that of the board of directors, and may be re-elected upon expiration.

The president, vice-president, directors and secretary-general shall not concurrently serve as supervisors.

Article 26 The president, vice-president, secretary-general and supervisor of this Association must meet the following conditions:

(a) adhere to the party's line, principles and policies, and abide by national laws and regulations;

(2) It has great influence in this industry;

(3) The president, vice-president and secretary-general shall not be over 70 years old, and the secretary-general shall be full-time;

(4) Being in good health and able to stick to normal work;

(5) Having not received criminal punishment;

(6) Having full capacity for civil conduct.

Article 27 The Secretary-General of the Association shall be appointed, and the Secretary-General and the President shall not be elected in the same enterprise. The president can't be the secretary-general at the same time.

Article 28 The Association has 1 president and 8 vice-presidents. The president shall be the legal representative of this trade association, and the legal representative of this trade association shall not concurrently serve as the legal representative of other social organizations.

Article 29 The term of office of the President, Vice-President and Secretary-General of this Association is four years, and the re-election shall not exceed two terms.

Article 30 The President of this Association shall exercise the following functions and powers:

(a) to convene and preside over the meeting of the Council (or the Standing Council);

(two) to check the implementation of the resolutions of the general assembly and the Council (or the Standing Council);

(3) To nominate the Secretary-General and submit it to the Council for decision;

(4) Signing relevant important documents on behalf of the Association;

Article 31 The vice-president and secretary-general of this Association shall work under the leadership of the president, and the secretary-general shall be responsible to the Council. The Secretary-General shall be a full-time person and exercise the following functions and powers:

(a) to preside over the daily work of the office and organize the implementation of the annual work plan;

(2) Organizing the formulation and implementation of annual work plans, budgets and decisions;

(3) Coordinating the work of branches, representative offices and entities;

(4) Nominating the Deputy Secretary-General and all offices, branches, representative offices and entities to be mainly responsible for

(5) Nominating and hiring full-time staff of offices, representative offices and entities, and reporting to the President for approval;

(6) Handling other daily affairs;

The Secretary-General attends meetings of the Council and the Standing Council as a representative without voting rights.

Article 32 The Board of Supervisors shall exercise the following functions and powers:

(a) Report on its annual work to the General Assembly;

(two) to supervise the election and recall of the general assembly and the Council; Supervise the Council to implement the resolutions of the General Assembly;

(three) to check the financial and accounting information of the association and report the situation to the registration authority and the competent tax and accounting departments;

(4) Supervisors shall attend board meetings as nonvoting delegates and have the right to raise questions and suggestions to the board;

(5) Supervising the compliance of the Council with laws and articles of association. Serve as president, vice president, director and secretary general.

When the manager's behavior harms the interests of the association, he should be required to correct it and report to the member congress or relevant government departments when necessary.

Supervisors shall abide by the relevant laws and articles of association, accept the leadership of the general meeting of members, and earnestly perform their duties.

Chapter V Principles of Asset Management and Use

Thirty-second sources of funds for this department:

(1) Membership dues paid by member units;

(two) donations from member units and other units;

(3) government funding;

(four) income from activities and services within the approved business scope;

(6) Other lawful income.

Article 34 The Association shall abide by laws and regulations when accepting donations, and shall not apportion in any form or in disguised form.

Donors, sponsors or units, members and supervisors have the right to inquire about the use and management of donated property from the Association and put forward opinions and suggestions. The association shall promptly and truthfully answer the inquiries of donors, sponsors or units, members and supervisors.

Article 35 the association collects membership fees in accordance with the relevant provisions of the state.

Article 36 the funds of this association must be used for the business scope and career development stipulated in the articles of association. Property and other income are protected by law, and no unit or individual may occupy, privately divide or misappropriate them.

Article 37 If the president, vice-president, directors, supervisors, secretary-general and staff members of the association privately divide, occupy or misappropriate the property of the association, they shall return it and review it at the general meeting; If a crime is constituted, criminal responsibility shall be investigated according to law.

Article 38 This Association shall implement the unified national accounting system, conduct accounting according to law, establish and improve the internal accounting supervision system, and ensure the legality, truthfulness, accuracy and completeness of accounting data.

This Association accepts the tax supervision and accounting supervision implemented by the competent tax and accounting departments according to law.

Article 39 The Association shall be staffed with accountants with professional qualifications. Accounting personnel shall not concurrently serve as cashiers. Accountants must conduct accounting and exercise accounting supervision. When an accountant transfers his job or leaves his post, he must go through the handover procedures with the recipient.

Article 40 The asset management of this Association must implement the financial management system stipulated by the state and accept the supervision of the general meeting of members and the financial department. If the source of assets belongs to the state appropriation or social donation or subsidy, it must accept the supervision of audit institutions and publish relevant information to the society in an appropriate way.

Article 41 The annual report, general election, change of legal representative and liquidation of this Association must be subject to the financial audit organized by the registration authority.

Forty-second departments shall, in accordance with the articles of association of Guangdong Trade Association, submit the activity report, financial report and activity arrangement of the previous year to the registration authority before the end of March each year.

The Association has established a reporting system for major activities: the Association holds large-scale academic reports, seminars and exhibitions, holds foreign exchanges, contacts with overseas non-governmental organizations, conducts industry appraisal and commendation activities, and accepts donations from overseas and society. , and report to the relevant government departments and registration authorities before the event, and go through the relevant procedures.

Article 43 The full-time staff of the Association shall be engaged in full-time employment system, openly recruited for the society and signed labor contracts. Its salary, insurance and welfare benefits shall be implemented with reference to the relevant provisions of the national team and institutions.

Chapter VI Procedures for Amending the Articles of Association

Forty-fourth amendments to the articles of association of this association must be approved by the Council and reported to the general meeting for consideration.

Article 45 The revised articles of association of this Association shall come into effect after being reported to Shenzhen Civil Affairs Bureau for approval within 30 days after being adopted by the general meeting of members.

Chapter VII Termination Procedure and Property Disposal after Termination

Article 46 In any of the following circumstances, this Association shall be terminated, and the Council or the Standing Council shall propose a motion for revocation:

(a) to complete the purpose stipulated in the articles of association;

(2) The general meeting of members decides to dissolve;

(3) Division or merger of the association;

(four) unable to continue to work in accordance with the purpose of the articles of association.

Article 47 The motion to terminate this association must be voted by the general meeting of members and reported to Shenzhen Civil Affairs Bureau for approval.

Article 48 Before the termination of this Association, a liquidation group shall be established under the guidance of Shenzhen Civil Affairs Bureau and relevant units to clean up the creditor's rights and debts and deal with the aftermath. During the liquidation period, no activities other than liquidation shall be carried out. The Association shall go through the cancellation of registration with Shenzhen Civil Affairs Bureau within 15 days from the date of liquidation.

Article 49 The Association shall terminate after going through the cancellation formalities with the registration authority of the Association.

Article 50 Under the supervision of Shenzhen Civil Affairs Bureau, the remaining property after the termination of this Association shall be used for the development of undertakings related to the purpose of this Association in accordance with relevant state regulations.

Chapter VIII Supplementary Provisions

Article 51 The Articles of Association was adopted by the members' congress on March 6, 20 10.

Article 52 The right to interpret the Articles of Association belongs to the Council of the Association.

Article 53 The Articles of Association shall come into force as of the date of approval by Shenzhen Civil Affairs Bureau.
