Background
Penny's Bay Location Map Affected by the Asian financial crisis, Hong Kong's economy showed negative growth in 1998. The Hong Kong Government has listed tourism as one of the four pillar industries. Although tourism only accounts for 7% of GDP, it has promoted the prosperity and growth of related industries, such as retail, catering and hotel, and at the same time, it can create a large number of employment opportunities and contribute to economic recovery. Therefore, the development of tourism has become an important countermeasure for economic transformation. At the same time, Disney is also preparing to enter the China market, and plans to find a location in Asia to build a new theme park. It is rumored that Disney has contacted the governments of Singapore, Shanghai and Seoul.
At the end of 1998, Disney started negotiations with the Hong Kong Government on the site selection, and it was agreed that Penny's Bay was a suitable site for the construction of a theme park. In February 1999, the two sides formally negotiated on the construction of Hong Kong Disneyland. At the beginning, the two sides studied the possibility of introducing third-party investors, but later, due to the huge plan and complex content, the two sides also needed to conduct in-depth negotiations on phased development, so they finally agreed to the model of partnership development between the Hong Kong Government and Disney [2]. The Budget for the 1999-2 fiscal year published by Donald Tsang, the then Financial Secretary of Hong Kong, on March 3, 1999 publicly confirmed for the first time that the Hong Kong Government and Disney were negotiating on the construction of Hong Kong Disneyland. Prior to this, the Secretary for Economic Services of Hong Kong, Mr Stephen IP, who was in charge of the relevant negotiations, repeatedly cited the communication between men and women as an example, implying that the negotiations between the two sides were under way. After the official recognition of the negotiations, Ye Hao once described the two sides as "talking about money but not talking about heart" and they have entered the negotiation stage of partnership arrangement.
On October 31, 1999, the negotiations between the Hong Kong Government and Disney ended, and the two sides reached an agreement to jointly establish Hong Kong International Theme Park Co., Ltd. to build a Hong Kong Disneyland resort in Penny's Bay, including Hong Kong Disneyland. Tung Chee-hwa, the former Chief Executive of Hong Kong, and Disney executives formally announced the relevant agreement at Government House on November 2, 1999.
Hong Kong Disneyland immediately said that it was focusing on the implementation of the expansion plan and hoped to start the project as soon as possible.
Liu Wu Huilan said that Hong Kong Disneyland will be expanded as soon as possible and construction will start at the end of the year. It is expected that the new facilities will be gradually opened in two or three years. She pointed out that Hong Kong Disneyland should seize the opportunity to enjoy the new facilities for the public as soon as possible.
James Tien, Chairman of the Hong Kong Tourism Board, said on the same day that the expansion of Hong Kong Disneyland will be completed in 214, which is believed to help increase the number of tourists. Hong Kong will use diversified tourism as an attraction to attract mainland tourists.
According to the expansion plan, the number of theme parks in Hong Kong Disneyland will increase from the current four to seven. The park is expected to be completed in stages within five years, and the estimated expansion cost is about HK$ 3.63 billion.

Partnership
Hong Kong Disneyland Resort is built and operated by Hong Kong International Theme Park Co., Ltd., which is a partnership between the Hong Kong Government and Disney. The Hong Kong Government will initially own 57% of the company's shares, while Disney will hold 43%. The total share capital of the company is HK$ 5.7 billion, of which HK$ 3.25 billion will be invested by the Hong Kong Government and HK$ 2.45 billion by Disney. Both parties can sell the company's shares in the future, but Disney needs to hold at least HK$ 1.9 billion, and the government is not subject to the minimum shareholding requirement. The share conversion is limited to five years after the opening of the park, and the conversion ceiling is increased by 5% every year. In order to avoid excessively affecting the share value of other shareholders, the maximum conversion amount in any year shall not be higher than 1%.
The construction cost of Hong Kong Disneyland Resort was estimated at HK$ 14.1 billion in 1999. The Hong Kong Government has provided a loan of HK$ 5.6 billion to the Hong Kong International Theme Park Company, which will be repaid in 25 years with interest. The company also raised 2.3 billion Hong Kong dollars through commercial loans.
The total investment of the Hong Kong Government is HK$ 2.245 billion, including the above-mentioned capital injection of HK$ 3.25 billion, which is equivalent to 57% of the equity. At the same time, the Hong Kong Government will acquire an additional subsidiary equity of HK$ 4 billion to replace the land price of Hong Kong Disneyland. As Penny's Bay was not developed at that time, the Hong Kong Government had to invest HK$ 13.6 billion in major infrastructure projects, including the construction of off-road roads, two public piers, public transport interchange, MTR Disney Line, police post, fire station, drainage and sewage facilities, and the leveling of a piece of land with an area of 3 hectares.
The Hong Kong Government has not provided Disney with free land or cash subsidies. The lease term of the land for Hong Kong Disneyland Resort is 5 years, with the right to renew it for another 5 years. Hong Kong International Theme Park Co., Ltd. can choose to buy the reserved land for Phase II development at HK$ 2.8 billion (the market value of land price in 1999) within 2 years after its opening, in other words, Disney has the priority to develop the land.

Construction project
Penny's Bay reclamation project was started in mid-2, with a land area of 3 hectares. The project includes the demolition of Caili Shipyard located on the northeast bank of Penny's Bay. As part of the shipyard's land is polluted by heavy metals, total petroleum hydrocarbons, semi-volatile organic compounds and dioxins, decontamination work must be carried out. The contaminated soil is transported to the Daokou Bay site for thermal desorption method treatment after being dug up, and then treated by concrete solidification. The residue from the process is transported to the Tsing Yi Chemical Waste Treatment Center for incineration. This move has caused dissatisfaction among some environmental groups.
In addition, the Antiquities and Monuments Office conducted an archaeological survey in Caili Shipyard from August to November 21, during which cultural relics with archaeological value in different periods were found. Before the shipyard demolition project started, the authorities appointed the Sino-Hong Kong Archaeological Research Office and Geoarchaeology Company to carry out rescue excavation and preservation measures in 21, and the rescue project was completed in July 22.
