Articles of Association of Guangdong Self-driving Tourism Association
Article 1 Name of Association: Guangdong go on road trip Association. (Guangdong go on road trip Association English translation: GDTA)
Article 2 Nature of the Association: It is a professional and non-profit social organization spontaneously organized by enterprises engaged in self-driving tourism and individuals who like self-driving tourism in Guangdong Province.
Article 3 Purpose of the Association: Abide by the Constitution, laws, regulations and national policies, abide by social morality and fashion, build a self-driving tourism service platform in Guangdong, promote the healthy development of self-driving tourism, and make positive contributions to the tourism industry in China.
Article 4 The Association accepts the business guidance of Guangdong Provincial Tourism Bureau and the supervision and management of Guangdong Provincial Civil Affairs Department.

Article 6 The business scope of this Association is as follows:
(a) Assist member units in market and brand development;
(2) Build an industry exchange and interaction platform;
(3) Organizing and planning various large-scale activities;
(4) Training industry professionals.
Chapter III Members
Article 7 The members of this Association are divided into two types: group members are units or organizations in industries or fields related to self-driving tourism, and individual members are individuals who own private cars and love self-driving tourism.
Article 8 A member applying to join this Association must meet the following requirements:
(a) support the articles of association;
(2) Having the will to join this Association;
(3) Having certain influence in the related fields involved by this Association;
(four) the group members who apply to join the association should hold business licenses and other relevant documents;
(5) Individual members applying to join the association should be at least 18 years old.
Article 9 The procedures for joining the club are as follows:
(1) submitting an application for membership;
(2) discussed and adopted by the Council;
(3) The Secretariat shall issue membership cards according to the decision and authorization of the Council.
Article 10 Members shall enjoy the following rights:
The right to vote, to be elected and to vote;
(two) to participate in the activities of this association;

(5) Freedom to join and quit voluntarily.
Article 11 Members shall perform the following obligations:

(five) according to the provisions of payment of membership fees:
A the annual membership fee paid by the president unit is 48,000 yuan;
B, the vice president unit pays an annual membership fee of 28,000 yuan;

D, the director unit pays an annual membership fee of 5,000 yuan;
E. The member reception base pays a membership fee of 20,000 yuan per year;
F. The member reception unit pays an annual membership fee of 5,000 yuan;
G, group member units pay annual membership fee of 2000 yuan;
H, Zunshang individual members pay an annual membership fee of 2,000 yuan;

(6) Report the situation to this Council and provide relevant information.
Article 12 A member who withdraws from the meeting shall notify the Association in writing and return his membership card. Members 1 year who fail to pay their membership dues or participate in the activities of this association are deemed to have withdrawn automatically.
Article 13 A member who seriously violates the Articles of Association shall be removed by voting of the Council or the Standing Council.
The creation and removal of institutions and their responsible persons
Article 14 The highest authority of this Association is the members' congress, and its functions and powers are:
(a) to formulate or amend the articles of association;
(2) Electing and dismissing directors;
(3) To review the annual work reports and financial reports of the board of directors and the board of supervisors;
(four) to consider the recommendations of the Council on the recall of members;
(five) to make resolutions on the alteration, dissolution and liquidation of the association;
(six) to change or cancel the inappropriate decisions of the Council;
(7) Deciding to terminate.

Fifteenth members' congress can only be held when more than two thirds of the members' representatives are present, and its resolutions can only take effect when more than half of the members' representatives present vote.
Article 16 The members' congress has been held for five years, and if it needs to be changed or postponed in advance due to special circumstances, it must be approved by the board of directors and reported to the registration authority of the association for approval.
Article 17 The Council is the permanent body of the general meeting of members. When the Congress is not in session, lead the Association to carry out its daily work and be responsible to the Congress.
Article 18 The functions and powers of the Council:
(a) to implement the resolutions of the members' congress;
(two) to elect and recall the president, vice president and secretary general;
(three) to prepare for the convening of the members' congress;
(four) to report the work and financial situation to the members' congress;
(five) to decide to absorb or recall members;
(6) Deciding to establish offices, branches, representative offices and entities;
(seven) decided to appoint the deputy secretary general of the association and the heads of branches and offices;
(eight) to lead the work of this group;
(9) Deciding on the internal management system;
(10) To decide on other major matters.
Article 19 A meeting of the board of directors shall be held only when more than two thirds of the directors are present, and its resolutions shall take effect only after being voted by more than two thirds of the directors present.
Article 20 The Council shall meet at least once a year; Under special circumstances, an exchange meeting can also be held.
Article 21 The Association shall set up a standing council, which shall be elected by the council, and shall exercise the functions and powers specified in items 1, 3, 5, 6, 7, 8 and 9 of Article 18 when the council is not in session, and shall be responsible to the council (the number of standing directors shall not exceed 65,438+0.3 of the number of directors).
Article 22 The Standing Council shall be convened only when more than two thirds of the executive directors are present, and its resolutions shall take effect only when more than two thirds of the directors are present.
Article 23 The Standing Council shall meet at least once every six months; Under special circumstances, an exchange meeting can also be held.
Article 24 The president, vice-president and secretary-general of this Association must meet the following conditions:
(a) adhere to the party's line, principles and policies and good political quality;
(2) It has great influence in the business field of the Association;
(3) The president, vice-president and secretary-general shall not be over 70 years old, and the secretary-general shall be full-time;
(4) Being in good health and able to stick to normal work;
(5) Having not been subjected to criminal punishment of deprivation of political rights;
(6) Having full capacity for civil conduct.
Article 25 The president, vice-president and secretary-general of the Association shall be approved by the Council, reported to the Guangdong Provincial Tourism Bureau for review and approved by the Guangdong Provincial Civil Affairs Department before taking up their posts.
Article 26 The term of office of the President, Vice-President and Secretary-General of this Association is five years, and the term of office shall not exceed two. If it is necessary to be re-elected due to special circumstances, it shall be reported to the Social Organization Administration for approval before taking office.
Article 27 The president of this Association shall be the legal representative of this Association.
Article 28 The President of this Association shall exercise the following functions and powers:
(1) Convening and presiding over the meetings of the Council;
(two) to check the implementation of the resolutions of the members' congress and the Standing Council;
(3) Signing relevant important documents on behalf of the Association;
Article 29 The Secretary-General of this Association shall exercise the following functions and powers:
(a) to preside over the daily work of the office and organize the implementation of the annual work plan;
(2) Coordinating the work of branches, representative offices and entities;
(3) Nominating the Deputy Secretary-General and the principal responsible persons of offices, branches, representative offices and units, and submitting them to the Council or the Standing Council for decision;
(four) to decide on the employment of full-time staff of offices, representative offices and entities;
(5) Handling other daily affairs;
Principles of asset management and use
Article 30 The sources of funds of this Association are:
(1) membership fees;
(2) donation;
(3) government funding;
(4) Income from activities or services provided within the approved business scope;
(5) interest;
(6) Other lawful income.
Article 31 the association collects membership fees in accordance with the relevant provisions of the state.
Article 32 the funds of this association must be used for the business scope and career development as stipulated in the articles of association, and shall not be distributed among members.
Article 33 An association shall establish a strict financial management system to ensure the legality, truthfulness, accuracy and completeness of accounting information.
Article 34 An association shall be equipped with accountants with professional qualifications, and accountants shall not concurrently serve as cashiers. Accountants must conduct accounting and exercise accounting supervision. When an accountant transfers his job or leaves his post, he must go through the handover procedures with the recipient.
Article 35 The asset management of this Association must implement the financial management system stipulated by the state and accept the supervision of the members' congress and the financial department. If the source of assets belongs to the state appropriation or social donation or subsidy, it must accept the supervision of audit institutions and publish relevant information to the society in an appropriate way.
Article 36 Before an association changes its legal representative, it must accept the financial audit organized by the registration authority and the competent business unit of the association.
Article 37 No unit or individual may occupy, privately divide or misappropriate the assets of this Association.
Article 38 The wages, insurance and welfare benefits of the full-time staff of this Association shall be implemented with reference to the provisions of relevant state institutions.
Procedures for amending the Articles of Association
Article 39 Any amendment to the articles of association of this Association shall be approved by the Council and submitted to the members' congress for deliberation.
Article 40 The revised articles of association shall come into effect within 15 days after being approved by the Guangdong Provincial Tourism Bureau and submitted to the Guangdong Provincial Civil Affairs Department.
Termination procedure and property disposal after termination
Article 41 If the Association completes its purpose, dissolves or needs to be cancelled due to division or merger, the Council or the Standing Council shall propose a termination motion.
Article 42 The motion to terminate this association must be voted by the members' congress and submitted to the competent business unit for examination and approval.
Forty-third before the termination of this association, a liquidation organization shall be established under the guidance of the competent business unit and relevant authorities to clean up the creditor's rights and debts and deal with the aftermath. During the liquidation period, no activities other than liquidation will be carried out.
Article 44 this association shall be terminated after the cancellation of registration by the association registration authority.
Article 45 The remaining property after the termination of this Association shall be used for the development of undertakings related to the purpose of this Association under the supervision of the competent business units and the registration and administration organs of associations in accordance with the relevant provisions of the state.
Chapter VIII Supplementary Provisions
Article 46 The Articles of Association was voted by the second general meeting of the Association on October 9, 2004/KLOC-0.
Article 47 The right to interpret the Articles of Association belongs to the Council of the Association.
Article 48 The Articles of Association shall come into force as of the date of approval by the registration authority of associations.
