Chapter I General Principles

Article 1 The name of this Association is China Travel Agency Association, and the English name is China Travel Agency Association (CATS).

Article 2 This Association is a national travel agency professional association composed of China travel agencies, regional travel agency associations or other similar associations on the principle of equality and voluntariness. It is a non-profit social organization with independent legal personality.

Article 3 The purpose of this Association is to abide by the national constitution, laws, regulations and relevant policies, abide by social ethics, represent and safeguard the interests of the travel agency industry and the legitimate rights and interests of its members, strive to serve its members, serve the industry, play the role of a bridge and link between the government and its members, and make positive contributions to the healthy development of China's travel agency industry.

Article 4 The competent unit of this Association is the National Tourism Administration, and the registration authority of this Association is the Ministry of Civil Affairs. We accept the leadership of the National Tourism Administration, the supervision and management of the Ministry of Civil Affairs and the business guidance of china tourism association.

Article 5 The headquarters of this Association is located in Beijing, the capital of China.

Chapter II Appointment

Article 6 The main tasks of this Association are:

(a) to publicize and implement the national tourism development policy and the policies and regulations of the travel agency industry;

(2) Summarize and exchange the working experience of travel agencies, carry out relevant research on the travel agency industry, and put forward positive and feasible suggestions for the development of the travel agency industry;

(three) to reflect the wishes and requirements of members to the competent authorities and relevant units, to provide legal advisory services for members, and to safeguard the interests and legitimate rights and interests of members;

(four) to formulate rules and regulations, give play to the role of industry self-discipline, urge member units to improve the management level and reception service quality, and maintain the order of tourism market operation;

(five) to strengthen exchanges and cooperation among members, and organize various training, study, discussion, exchange and inspection activities;

(six) to strengthen contact, coordination and cooperation with relevant organizations and associations inside and outside the industry;

(seven) to carry out exchanges and cooperation with overseas travel agency associations and related industry organizations;

(eight) publishing periodicals and information materials to provide information services for members;

(nine) to undertake other tasks entrusted by the competent unit.

Chapter III Members

Article 7 Members of this Association are group members, and individual members are not accepted.

Article 8 A member applying to join this Association must meet the following requirements:

(a) Acknowledge and support the Articles of Association;

(2) Having the will to join this Association;

(3) Travel agencies established in China according to law operate according to law and have no bad reputation;

(4) Regional travel agency associations or other similar associations.

Article 9 The procedures for joining the club are as follows:

(1) submitting an application for membership;

(two) discussed and approved by the Standing Council;

(3) The Standing Council authorizes our office to issue membership cards.

Article 10 Members shall enjoy the following rights:

The right to vote, to be elected and to vote;

(two) to participate in the activities of this association;

(three) to obtain the priority of our services;

(four) enjoy the right to use the logo of the association;

(five) to put forward suggestions, questions, criticisms and supervision on the work and responsible persons of this Association;

(6) Have the right to request our assistance (such as mediation, litigation, etc.). ) encounter major difficulties or the legitimate rights and interests are infringed;

(7) voluntary membership and free withdrawal.

Article 11 Members shall perform the following obligations:

(a) abide by the articles of association, implement the resolutions of the association, and safeguard the reputation and legitimate rights and interests of the association;

(2) Abide by the laws, regulations and rules of the state concerning the travel agency industry;

(three) to complete the work assigned by the association and actively participate in and support the activities organized by the association;

(four) to pay membership fees in accordance with the provisions;

(five) to accept the evaluation and mediation of this Council;

(six) do not organize or participate in all activities that are detrimental to the Association and other members;

(7) To report the situation to this Council and provide information and relevant materials.

Article 12 Full members shall implement the registration system of paying membership fees before March 1 every year. Those who fail to pay the membership fee within the specified time shall be deemed to have withdrawn from the meeting automatically. When a member's travel agency business license is revoked or cancelled according to law, his membership will be cancelled. Voluntary application for withdrawal from membership shall be subject to the formal written report.

Article 13 A member who seriously violates the Articles of Association may be removed by resolution of the Standing Council.

Article 14 This Association implements the annual registration announcement system for its members.

Chapter IV Organization and Leading Body

Article 15 The highest authority of this Association is the general meeting of members, which is composed of the legal representatives of all member units. The functions and powers of the General Assembly are:

(a) to formulate and amend the articles of association;

(2) Electing and dismissing directors;

(3) Hearing and deliberating the work report and financial report of the Council;

(four) to decide on the dissolution and liquidation of the association;

(five) to consider and decide on other major issues of the Association.

Article 16 A general meeting of members shall be held only when more than two thirds (including two thirds) of the members are present, and its resolution shall take effect only when more than half of the members present vote.

Article 17 The general meeting of members shall be held every four years. Due to special circumstances, it is necessary to advance or postpone the general election, which shall be voted by the board of directors, reported to the competent unit for examination and approval, and approved by the registration authority of the association. However, the term of office shall not be extended for more than one year.

Article 18 The Council is the executive body of the general meeting of members, leading the Association to carry out its daily work during the intersessional period and being responsible for the general meeting of members.

Article 19 The functions and powers of the Council are:

(a) Implementing the resolutions of the General Assembly;

(two) according to the recommendation of the competent unit, elect and recall the president, vice president and secretary general;

(3) Preparing for convening a general meeting of members;

(four) to report the work and financial situation to the general assembly;

(5) Electing and dismissing executive directors;

(6) Deciding to establish offices, branches, representative offices and entities;

(seven) to decide on other major issues of the association.

Article 20 A meeting of the board of directors shall be held only when more than two thirds (including two thirds) of the directors are present, and its resolutions shall take effect only after the votes of more than two thirds (including two thirds) of the directors present at the meeting.

The Council shall meet at least once a year; Under special circumstances, an exchange meeting can also be held.

Article 21 The Association shall have a standing council, which shall be elected by the council. The Standing Council consists of the President, the Vice-President, the Executive Director and the Secretary-General, with the total number not exceeding one third of the Council.

The Standing Council is responsible to the Council and exercises its functions and powers when the Council is not in session.

Article 22 The Standing Council shall be convened only when more than two-thirds (including two-thirds) of the executive directors are present, and its resolutions shall take effect only when more than two-thirds (including two-thirds) of the executive directors present vote.

Regular meetings of the Permanent Council; Under special circumstances, an exchange meeting can also be held.

Article 23 The functions and powers of the Standing Council are:

(1) Implementing the resolutions of the Council;

(two) to consider the work report of this association;

(3) Deciding to accept or expel members;

(four) according to the recommendation of the competent unit, to decide on the appointment of the deputy secretary general and the principal responsible persons of various institutions;

(five) to consider the addition and change of directors;

(six) to formulate internal management system;

(seven) to lead the work of the institutions of this Association;

(eight) to prepare for the convening of the Council and report to the Council.

Article 24 The president, vice-president and secretary-general of this Association must meet the following conditions:

(a) adhere to the party's line, principles and policies, good political quality;

(2) It has great influence in the business field of the Association;

(3) The maximum age of the president, vice-president and secretary-general shall not exceed 65, and the secretary-general shall be full-time;

(4) Being in good health and able to stick to normal work;

(5) Having not been subjected to criminal punishment of deprivation of political rights;

(6) Having full capacity for civil conduct.

Article 25 The president, vice-president and secretary-general of the Association shall be approved by the Council, reported to the competent unit for examination and approved by the registration authority of the Association before taking up their posts.

Article 26 The term of office of the President, Vice-President and Secretary-General of this Association is four years (no more than two terms). If it is necessary to extend the term of office due to special circumstances, it must be approved by more than two-thirds (including two-thirds) of the members of the general assembly, reported to the competent unit for examination and approval, and approved by the registration authority of the association.

Article 27 The president is the legal representative of the Association and exercises the following functions and powers:

(a) to convene and preside over the Council (or the Standing Council);

(two) to check the implementation of the resolutions of the general assembly, the Council and the Standing Council;

(3) Signing relevant important documents on behalf of the Association;

The president may not concurrently serve as the legal representative of other social organizations.

Article 28 The Secretary-General shall preside over the daily work of the Association under the leadership of the Standing Council, and the Deputy Secretary-General shall assist the Secretary-General. The Secretary-General shall exercise the following powers:

(a) to preside over the daily work of the office and organize the implementation of the annual work plan;

(2) Coordinating the work of branches, representative offices and entities;

(three) according to the recommendation of the competent unit, to handle the appointment and removal of the deputy secretary general and the principal responsible persons of offices, branches, representative offices and units;

(four) to decide on the employment of full-time staff in offices, branches, representative offices and units, and report to the competent authorities for approval;

(5) Handle other daily affairs.

Chapter V Principles of Asset Management and Use

Twenty-ninth sources of funds of the Association:

(1) membership fees;

(2) donation;

(3) government funding;

(4) Income from activities or services provided within the approved business scope;

(5) interest;

(6) Other lawful income.

Article 30 The Association shall collect membership fees in accordance with relevant state regulations.

Article 31 the funds of this association must be used for the business scope and career development as stipulated in the articles of association, and shall not be distributed among members.

Article 32 An association shall establish a strict financial management system to ensure the legality, truthfulness, accuracy and completeness of accounting information.

Article 33 The asset management of this Association must implement the financial management system stipulated by the state and accept the supervision of the general meeting of members and the financial department. If the source of assets belongs to the state appropriation or social donation or subsidy, it must accept the supervision of audit institutions and publish relevant information to the society in an appropriate way.

Article 34 Before an association changes its term of office or changes its legal representative, it must accept the financial audit organized by the registration authority and the competent unit of the association.

Article 35 No unit or individual may occupy, privately divide or misappropriate the assets of this Association.

Article 36 The wages, insurance and welfare benefits of the full-time staff of this Association shall be reported to the competent unit for approval with reference to the provisions of relevant state institutions.

Chapter VI Procedures for Amending the Articles of Association

Article 37 The amendment to the articles of association of this Association shall be submitted to the general meeting of members for deliberation after being voted by the Council.

Article 38 The revised articles of association of this Association shall come into effect within 15 days after being passed by the general meeting of members, examined and approved by the competent unit and reported to the registration authority of this Association for the record.

Chapter VII Termination Procedure and Property Disposal after Termination

Article 39 If the Association completes its purpose, dissolves or needs to be revoked due to division or merger, the Standing Council shall propose a termination motion.

Fortieth, the motion to terminate the association must be voted by the general meeting of members and submitted to the competent unit for examination and approval.

Forty-first before the termination of this association, a liquidation organization shall be established under the guidance of the competent unit and relevant organs to clean up the creditor's rights and debts and deal with the aftermath. During the liquidation period, no activities other than liquidation will be carried out.

Article 42 this association shall be terminated after the cancellation of registration by the association registration authority.

Article 43 The remaining property after the termination of this Association shall be used for the development of undertakings related to the purposes of this Association under the supervision of the competent units and the registration and administration organs of associations in accordance with relevant state regulations.

Chapter VIII Supplementary Provisions

Article 44 The Articles of Association was adopted by the shareholders' meeting on February 8, 2006.

Article 45 The right to interpret the Articles of Association belongs to the Standing Council of the Association.

Article 46 The Articles of Association shall come into force as of the date of approval by the registration authority of associations.
