1. Party A authorizes Party B to establish "XX Branch of China Wulian International Property Services (Beijing) Co., Ltd." 2. Payment method: After Party B officially takes over the property (after the handover with the original property company is completed), the first-year management fee: RMB 150,000 (one hundred and fifty thousand yuan) will be paid to Party A.
3. Party B shall pay the management fee for the next year according to the date of signing of the property service contract one month before the expiration of the previous year; otherwise, Party A has the right to unilaterally terminate this agreement and Party B shall bear all losses.
Note: If Party A wins the bid and fails to successfully take over the XXXXX property project, Party B does not need to pay this management fee.
3. Party A’s rights and obligations
1. Party A. Party A is responsible for providing Party B with relevant legal and valid first-level property management qualification documents required for the daily business activities of "XXXXXX Property Project".
2. Party A supports Party B's property management work in XXXXXX Property Project. , provide it with complete legal and effective brand management documents and related information;
3. Party A assists in setting up a special bank account for the "XXXXXX Property Project" branch and authorizes Party B to use and manage it fully.
4. If relevant documents and information must be submitted in the name of Party A and stamped with Party A’s official seal in accordance with laws, regulations, policies or due to business and management needs, Party A promises to provide timely support and cooperation. p>
5. Party A shall provide good assistance services within seven working days for Party B’s reasonable requirements for project filing, annual project inspection, project coordination (including personnel labor and travel expenses incurred during this period). (Beared by Party B)
6. During the validity period of the agreement, Party A will not interfere with the daily operating activities of the "XXXXXX Property Project", but Party A has the right to know and make suggestions for operating conditions and personnel adjustments. If Party B harms the interests of Party A in its operation and management, Party A has the right to stop it and terminate this agreement in advance.
7. Party A has the right to inspect and supervise the property management site and management work from time to time. .
8. During the validity period of the agreement, Party A does not assume any joint liability during the period when Party B is responsible for the management. It shall be fully borne by Party B and Party B’s guarantor.
4. Party B’s Rights and Obligations
1. Party B is responsible for the overall operation and management of the "XXXXXX Property Project". During the contract period, Party B will operate independently, be responsible for its own profits and losses, and bear its own risks. Bear joint and several liability for all claims and debts incurred due to the operation and management of the "XXXXXX Property Project" and provide economic guarantees for it.
2. Party B shall abide by relevant national and local laws, regulations and policies, comply with Party A’s CIS specification requirements, make project logos, assign project leaders, and complete project filing work.
3. Party B ensures that in its business management activities, it abides by laws, operates with integrity, employs people legally, and ensures the legitimate rights and interests of internal employees and owners (residents/tenants). Otherwise, all consequences arising therefrom will be shall be borne by Party B;
4. The property employees of the "XXXXXX Property Project" recruited by Party B in accordance with relevant national regulations shall sign labor contracts with Party B, be included in Party B's labor and personnel management system, and conduct standardized property management service training and Only those who pass the assessment can be employed. After the expiration of the agreement, if both parties do not renew the agreement, Party B must properly arrange for them. If there are any adverse consequences, Party B will be responsible for them;
5. Party B should abide by the national industrial and commercial regulations. Comply with tax and other regulations, cooperate with the annual inspection on time, file taxes as scheduled, and accept the supervision of Party A. If there are any relevant violations, you will be responsible for the violations.
6. Party B shall serve the property projects it takes over well during the operation period and shall not cause any incident that damages Party A’s image. If it occurs, it will be rectified within a time limit; if it does not rectify, it will not be supervised by Party A; Party A has the right to unilaterally terminate this agreement.
7. For property projects that Party B undertakes during the operation period, Party B is obliged to copy the property information, charge ledgers, and facilities and equipment ledgers within the scope of the acceptance inspection requirements stipulated in national laws and regulations provided by Party A. One copy shall be filed by Party A, and two original copies shall be provided to Party A within one month after the signing of the property management service contract.
8. All contracts signed externally during the management period of Party B must be submitted to Party A with an original copy to be valid. Contracts that are not reported will be regarded as Party B’s personal behavior, and Party A does not bear any responsibility for performance.
9. Party B shall sign and seal the financial income and expenditure report for the previous month and submit it to Party A for reference every month. Failure to submit the report in time on a monthly basis will be punished with a penalty of 1,000 yuan. Failure to submit the report multiple times will be deemed as a breach of contract.
10. During the project management period, Party B must register the project in accordance with national and local regulations, and the relevant personnel must have professional qualification certificates that meet the requirements.
5. Termination of the Contract
1. If either Party A or Party B unilaterally terminates this agreement without any reason, it shall compensate the other party for relevant losses of RMB 100,000. Both parties shall fully cooperate and coordinate with the government and The owner actively handles exit matters.
2. After the project property management bidding activity ends and the winning bidder is determined, if Party A does not receive the project property management bidding winning notice, Party B must compensate Party A for bidding losses of RMB 20,000. , and this contract is automatically terminated.
3. If Party A and Party B terminate the agreement in advance, they must notify the other party in writing three months in advance and obtain the consent of the other party before terminating the agreement in advance. Upon expiration or termination of this Agreement, Party B must unconditionally return the "XXXXXX Property Project" certificate, seal and other procedures to Party A. Party A will handle the cancellation, and Party B is obliged to fully cooperate and bear relevant responsibilities arising from the operation of the "XXXXXX Property Project".
4. After the contract expires, if both parties do not renew the contract, both parties should fully cooperate with the government and the owner to actively handle exit matters.
6. Contract Period

7. Other matters
Party B’s guarantor, as Party B’s guarantor, provides guarantee for Party B’s execution of this contract and shall be jointly and severally liable for the losses caused by Party B’s breach of contract.
Other matters not covered shall be resolved through negotiation between the two parties. If negotiation fails, a lawsuit shall be filed with the People's Court where the plaintiff is located.

3. If Party B encounters natural force majeure factors that affect the company’s normal operations or suspend production during the contract period, Party B may submit the matter to the shareholders’ meeting for discussion and resolution.
4. During the contract period, Party B shall pay on time the contract fees and undistributed profits stipulated by the shareholders' meeting, otherwise a late payment fee of 3‰ per day will be calculated.
6. This contract is made in eight copies, with each shareholder holding one copy.
7. This contract will come into effect upon signature on January 26, 20xx.
