Article 2 china portrait photography society (hereinafter referred to as "Association") is a national professional organization with academic and industrial characteristics, focusing on the theory, technology and management research of portrait photography to promote the development of portrait photography industry. The association consists of enterprises and individuals engaged in portrait photography and units and individuals closely related to the industry voluntarily. This association is a non-profit social organization.
Article 3 Purpose of the Association: (1) Abide by the national constitution, laws and regulations, implement relevant national policies, observe social ethics, adhere to the direction of serving the people and socialism, and adhere to the policy of letting a hundred flowers blossom and a hundred schools of thought contend. (2) Give full play to the role of the Association as a bridge, enthusiastically serve all members, safeguard the legitimate rights and interests of members, adapt to the needs of industry development, and actively carry out various activities to contribute to improving the overall level of portrait photography in China, promoting the development level of the industry and promoting the progress of the industry.
Article 4 This Association has been approved and registered by the Ministry of Civil Affairs of the People's Republic of China, and has the status of a legal person. Chapter II Scope of Business
Article 7 The business scope of this Association
(a) to publicize and implement the relevant national policies, assist the government in industry management, carry out industry self-discipline and promote industry development.
(two) to study the development plan of the customized society, and organize the exchange and inspection activities of national and regional portrait photography skills, theoretical research, management and service.
(three) regularly organize the national portrait photography art exhibition. Organize national or regional theme art exhibitions from time to time.
(four) to carry out and organize various forms of portrait photography skills training, collect and sort out relevant information at home and abroad, provide professional consulting services, and constantly improve the skills and management level of members.
(five) to guide the training and teaching base of China Portrait Society and carry out various forms of theoretical education.
(6) Strengthen the theoretical construction of portrait photography and hold an annual theoretical meeting. Organize and publish books, catalogues, software, etc. Start with portrait photography. Periodically edit and issue the internal work publication "Newsletter of China Portrait Photography Society".

Chapter III Members
Article 8 Members of this Association are divided into group members and individual members.
Article 9 Local portrait photography societies, associations, research associations, photography enterprises at all levels, professional schools and related research institutions, photography equipment, equipment and materials production enterprises and other social organizations related to portrait photography can apply for membership and become group members.
Article 10 Anyone who recognizes and supports the articles of association and meets one of the following conditions may apply to become an individual member.
(a) senior workers (equivalent to the original level) engaged in photography, darkroom, printing, renovation, coloring, business, makeup, digital image production, color development and other technical business and management personnel.
(two) with a certain professional level of portrait photography, eight portraits are needed, two of which need to be selected for film festivals at or above the provincial level or published in newspapers at or above the provincial level.
(3) Persons who have made certain achievements in theoretical research, translation and editing of portrait photography, and persons who have held leadership positions in portrait photography enterprises and institutions for more than five years and have made remarkable achievements.
(4) Teachers engaged in professional photography teaching in institutions of higher learning.
Article 11 Membership procedures
To apply for membership, you need to fill out an application form. Individual members need to have two members of our association as referees; Group members shall designate 1 to 2 people as group representatives, and become members of the association with the approval of the evaluation team of association members.
Article 12 Members shall enjoy the following rights
The right to vote, to be elected and to vote;
(two) to participate in relevant activities organized by the association;
(3) Give priority to the services provided by the Association for its members;
(four) have the right to criticize and suggest the work of this association;
(5) Ask this Council to take necessary measures; Safeguard the legitimate rights and interests of members;
(6) Freedom to join and quit voluntarily.
Article 13 Members shall perform the following obligations
(1) Abide by the articles of association of this Association and implement the resolutions of this Association;
(two) actively safeguard the legitimate rights and interests of this association;
(three) actively participate in and complete the work assigned by the association;
(four) to reflect the situation of the industry to the bureau and provide papers and related materials on portrait photography;
(five) to pay the membership fee according to the regulations.
Article 14 A member who withdraws from the club shall notify the club in writing and return his membership card.
If a member fails to pay the membership fee for more than one year or does not participate in the activities organized by the association, it will be regarded as automatic withdrawal, and the association will announce it to the industry.
Fifteenth in any of the following circumstances, the Standing Council of the Association shall give honor or material rewards:
(a) people who are enthusiastic about the work of this association and have made remarkable achievements in promoting the work of this association;
(2) those who have made outstanding achievements in their work and made significant contributions to the development of the industry.
Article 16 If a member seriously violates the articles of association and affects the work and reputation of the association, he/she shall be removed from the association after being voted by the Council or the Standing Council.
Chapter IV Establishment and Cancellation of Institutions and Responsible Persons
Article 17 The highest authority of this Association is the members' congress.
The functions and powers of the members' congress are as follows:
(a) to formulate and amend the articles of association;
(2) Hearing and deliberating the work report of the Council;
(three) to discuss and decide the working principles and nature of this association;
(4) Electing and dismissing directors;
(5) Deciding to terminate other major matters.
Article 18 A member congress can only be convened when more than two thirds of the members' representatives are present, and its resolutions can only take effect when more than half of the members' representatives vote.
Article 19 The general meeting of members shall be held every four years. Due to special circumstances, it is necessary to advance or postpone the general election, which shall be reported to the SASAC for review and approved by the Ministry of Civil Affairs, and voted by the Council. However, the term of office shall not be extended for more than one year.
Article 20 The Council is the executive body of the general meeting of members, leading the Association to carry out its daily work during the intersessional period and being responsible for the general meeting of members.
Article 21 The functions and powers of the Council are:
(a) to implement the resolutions of the members' congress;
(two) to elect and recall the president, vice president and secretary general;
(three) to prepare for the convening of the members' congress;
(four) to report the work and financial situation to the members' congress;
(5) Deciding to establish offices, branches, representative offices and entities;
(six) to decide on the appointment of the Deputy Secretary-General and the principal responsible persons of various institutions;
(seven) to lead the work of the institutions of this Association;
(eight) to formulate internal management system;
(9) Election and removal of executive directors, and the number of executive directors shall not exceed 65,438+0/3 of the number of directors;
(10) To decide on other major matters.
Article 22 The board of directors shall be convened only when more than two thirds of the directors are present, and its resolutions shall be valid only if they are approved by more than two thirds of the directors.
Article 23 The Council shall hold a meeting once a year, which may be held by means of communication under special circumstances.
Article 24 When the Council is not in session, the Standing Council shall preside over the daily work of the Council and be responsible to it. Its duties are:
(a) Exercising the functions and powers of Article 21, items 1, 3, 5, 6, 7, 8 and 10.
(two) put forward various suggestions and work plans that need to be discussed by the Council;
(three) to guide the work of the secretariat of this association;
(four) nominated by the president, decided to hire honorary president, consultant and honorary director;
(five) responsible for the establishment of various institutions and the division of special tasks;
(6) Celebrities who are enthusiastic about portrait photography and actively support the work of this Association may be directly developed into members of this Association by the Standing Council upon their own application.
Article 25 The Standing Council shall be convened only when more than two-thirds of the executive directors are present, and its resolutions shall take effect only after being voted by more than two-thirds of the executive directors present at the meeting.
Article 26
The Standing Council shall meet at least once every six months. Under special circumstances, it can be held by communication.
Article 27 The president, vice-president and secretary-general of this Association must meet the following conditions:
(a) support the party's line, principles and policies, good political quality;
(2) It has great influence in the field of association activities;
(3) Having the ability of organization and leadership;
(four) the maximum working age is generally not more than 65 years old, and the secretary general is full-time;
(5) Being healthy and able to stick to normal work;
(6) Having not been subjected to criminal punishment of deprivation of political rights;
(7) Having full capacity for civil conduct.
Article 28 If the president, vice-president and secretary-general of this Association exceed the maximum working age, they shall be approved by the Council, reported to the SASAC for examination and approved by the Ministry of Civil Affairs before leaving their posts.
Article 29 The term of office of the President, Vice President and Secretary General of this Association is four years. The term of office of the president, vice-president and secretary-general shall not exceed two consecutive terms. If it is necessary to extend the term of office due to special circumstances, Xu may take office only after being approved by more than two-thirds of the members' representatives at the general meeting and reported to the SASAC for review and approval by the Ministry of Civil Affairs.
Thirtieth special circumstances, with the approval of the SASAC and the Ministry of Civil Affairs, the president may not be the legal representative of the association, and the legal representative may be the vice president or the secretary general.
The legal representative of this Association shall not concurrently serve as the legal representative of other organizations.
Article 31 The President shall exercise the following functions and powers:
(a) to convene and preside over the Council and the Standing Council;
(two) to check the implementation of the resolutions of the members' congresses, councils and executive directors' meetings;
(3) Signing relevant important documents on behalf of the Association;
(4) Representing the Association or appointing other leaders to participate in relevant important activities at home and abroad;
Article 32 The Secretary-General shall exercise the following functions and powers:
(a) to preside over the daily work of the office and organize the implementation of the annual work plan;
(2) Coordinating the work of branches, representative offices and entities;
(3) Nominating the Deputy Secretary-General and the principal responsible persons of offices, branches, representative offices and units, and submitting them to the Council or the Standing Council for resolution;
(four) to decide on the employment of full-time staff of offices, representative offices and entities;
(5) Handling other daily affairs;
(six) accept the work assigned by the leadership of the association or the Standing Council.

Principles of asset management and use
Thirty-third sources of funds of the Association:
(1) membership fees;
(2) donation;
(3) government funding;
(4) Income from activities or services provided within the approved business scope;
(5) interest;
(6) Other lawful income.
Article 34 The Association shall collect membership fees in accordance with the relevant provisions of the State and the charging standards adopted by the members' congresses.
Article 35 The funds of this Association shall be used for the business scope and career development as stipulated in the articles of association, and shall not be distributed among members.
(1) Business activities and career development of the Association;
(2) Staff remuneration;
(3) office facilities and office expenses;
(4) Other necessary expenses;
Article 36 This Association shall strictly establish a financial management system in accordance with state regulations to ensure that accounting information is legal, true, accurate and complete.
Article 37 An association shall be equipped with accountants with professional qualifications. Accounting personnel shall not concurrently serve as cashiers. Accountants must conduct accounting and exercise accounting supervision. When an accountant transfers his job or leaves his post, he must go through the handover procedures with the recipient.
Article 38 The asset management of this Association must implement the financial management system stipulated by the state and accept the supervision of the general meeting of members and financial institutions. If the source of assets belongs to the state appropriation or social donation or subsidy, it must accept the supervision of audit institutions and publish relevant information to the society in an appropriate way.
Article 39 Before the association changes its legal representative, it must accept the financial audit organized by the Ministry of Civil Affairs and the State-owned Assets Supervision and Administration Commission.
Article 40 No unit or individual may occupy, privately divide or misappropriate the assets of this Association.
Article 41 The wages, insurance and welfare benefits of the full-time staff of this Association shall be implemented with reference to the provisions of relevant state institutions.
Chapter VI Revision of Articles of Association
Forty-second amendments to the articles of association of this association must be approved by the Council and reported to the members' congress of the Committee for adoption. When the congress is not in session, if the executive director of 1/3 proposes amendments, it must be discussed and approved by the Standing Council and submitted to the next congress for deliberation and approval. Within 15 days after the adoption, it will take effect after being reviewed and approved by SASAC and reported to the Ministry of Civil Affairs for approval.
Chapter VII Termination Procedure and Property Disposal after Termination
Article 43 When the Association completes its purpose, dissolves or needs to be cancelled due to division or merger, the Council or the Standing Council shall propose a termination motion.
Article 44
The motion to terminate the association must be passed by the members' congress and reported to the SASAC for approval.
Forty-fifth before the termination of this association, a liquidation organization shall be established under the guidance of the SASAC and the relevant competent departments to clean up the creditor's rights and debts and deal with the aftermath. During the liquidation period, no activities other than liquidation shall be carried out.
Article 46 The Association shall be terminated after the cancellation of registration by the Ministry of Civil Affairs.
Article 47 The remaining property after the termination of this Association shall be used for the development of undertakings related to the purpose of this Association under the supervision of the State-owned Assets Supervision and Administration Commission of the State Council and the Ministry of Civil Affairs in accordance with relevant state regulations.
Chapter VIII Supplementary Provisions
Article 48 The articles of association of this Association were adopted by the fifth member congress on August 7, 2004.
Article 49 The right to interpret the Articles of Association belongs to the Council of the Association.
Article 50
The Articles of Association shall come into force as of the date of approval by the Ministry of Civil Affairs.
