Constitution of Asia-Pacific Tourism Federation

Article 1 Organization name: Asia-Pacific Tourism Organization (APTO).

Article 2 APTO is a non-profit tourism cooperation organization in the Asia-Pacific region.

Article 3 APTO is based in the Asia-Pacific region, aiming at alliance and service, safeguarding members' rights and interests, strengthening cooperation and exchanges among members and regions, developing resources and markets, promoting members' prosperity and promoting the development of global tourism.

Article 4 The Hong Kong Special Administrative Region is the permanent organization of the APTO Secretariat.

Article 5 APTO abides by local laws and regulations and respects the moral culture and customs of all members.

Article 6 scope of APTO's activities

(1) Holding annual meetings, seminars and other special meetings every year;

(2) set up offices around the world to provide help and services for the professional development of members;

(3) Providing regional and global tourism information and trends; Provide management, operation and technical training and consultation;

(four) the selection of the best tourist routes, scenic spots, hotels, aviation, people and other annual awards in the Asia-Pacific region;

(five) the establishment of research and training centers to provide advanced management experience and technology;

(6) Hold the Asia-Pacific International Tourism Promotion Conference in turn at the member's place every year to publicize and promote the members to the public.

Article 7 APTO members are divided into founding members, basic members, honorary members and life members.

Article 8 Institutions and individuals who have achieved certain achievements and influence in the industry, recognized and bound by the Articles of Association may apply to become full members of APTO.

Article 9 The procedure for APTO member registration is:

(1) Submitting an application for registration;

(two) discussed and approved by the Council, or the Council authorized the secretariat to exercise the power of examination and approval;

(3) The Council authorized the Secretariat to issue a notice of registration of the Asia-Pacific Tourism Federation.

Article 10 Members of the Pacific Tourism Cooperation Organization shall enjoy the following rights and interests:

(1) Having the right to speak, suggest and vote on the work of APTO;

(2) Have the right to host or sponsor activities related to APTO;

(three) to enjoy the special preferential treatment given by all sectors of society and members;

(4) Have the right to use the industry data information and consultation provided by APTO;

(5) Have the right to participate in the annual meeting selection activities organized by APTO;

(six) have the right to ask APTO to help safeguard the legitimate rights and interests of members;

(7) Have the right to propose that APTO hold special seminars on issues of concern to it;

(8) Have the right to recommend or train talents to APTO;

(9) Enjoy other rights granted by APTO to members.

Article 11 Members shall perform the following obligations:

(1) Abide by the articles of association of APTO and relevant regulations, and implement the resolutions of the Council;

(2) Attending APTO member meetings and related activities; Complete the work assigned by APTO;

(3) maintaining the image of APTO; Provide true and reliable data and information for APTO;

(four) to pay membership fees in accordance with the provisions;

(5) Other relevant obligations stipulated by APTO.

Article 12 Withdrawal and disqualification of members

(1) Any member who withdraws from APTO for any reason shall notify the Secretariat in writing, and the Secretariat shall report to the Council.

(2) Any member who violates the articles of association, reputation or fails to participate in activities for two consecutive years shall be disqualified if it is approved by two-thirds of the members of the Council.

Thirteenth APTO's highest authority is the parliament, and its functions and powers are:

Article 14 The functions and powers of the APTO Council are:

(a) to formulate and amend the articles of association;

(2) Deciding to accept or expel members;

(3) To decide on the appointment of the Secretary-General and principal responsible persons of various institutions;

(four) to consider the work report and financial report of the secretariat;

(5) Deciding on other major matters.

Article 15 The APTO Council shall be convened only when more than 65,438+0/2 members are present, and its resolutions shall take effect only when more than 65,438+0/2 members are present and vote.

Article 16 The APTO Council shall meet at least once a year; Communication can be used under special circumstances.

Article 17 The term of office of President, Vice President and Secretary General of APTO is four years. If it is necessary to extend the term of office due to special circumstances, it must be agreed by the representatives of the members of the General Assembly12 before taking office.

Article 18 Chairman APTO shall exercise the following functions and powers:

(1) Convening and presiding over the Council;

(two) to check the implementation of the resolutions of the Council;

(3) Signing important documents on behalf of APTO and approving major issues of APTO.

Article 19 The secretariat of APTO is the executive body of the Council and the daily working body of APTO.

Article 20 The Secretary General of APTO shall exercise the following functions and powers:

(a) to preside over the daily work of the office and organize the implementation of the annual work plan;

(2) Coordinating the work of branches, representative offices and entities;

(3) Deciding to establish offices, branches, representative offices and entity institutions.

(4) Nominating the heads of offices, representatives and entities and submitting them to the Council for decision;

(5) Handle other daily affairs.

Article 21 APTO funds come from legal income such as membership dues, donations, government subsidies and activities.

Article 22 APTO Fund shall be used for the business scope and career development as stipulated in the Articles of Association.

Article 23 APTO financial personnel must conduct accounting and exercise accounting supervision. When the accountant is transferred or resigned, he must go through the handover procedures with the recipient.

Article 24 The assets of APTO shall be managed and used by the board of directors. And will be announced to the public in an appropriate way.

Chapter VI Revision of Articles of Association and Supplementary Provisions

Article 25 The amendment to the articles of association of APTO Company shall come into effect after deliberation and voting by the board of directors.

Article 26 The right to interpret the Articles of Association belongs to the APTO Council.
