Notice of the National Tourism Administration on printing and distributing the Interim Measures for the examination and approval management of Sino-foreign joint venture first-class travel agencies in national tourist resorts Article 1 These Measures are formulated in accordance with the provisions of the State Council on "A Class I Travel Agency that can establish Sino-foreign joint ventures and operate overseas tourism business in national tourist resorts". Article 2 To apply for the establishment of a national tourist resort with a Sino-foreign joint venture of Class I travel agencies, the premise is that the development and construction of the resort have reached a certain scale, and the total investment of the projects that have been completed and put into operation in the resort has exceeded 654.38 billion US dollars, which has the basic conditions for receiving overseas tourists and developing overseas tourism business. Article 3 As a first-class travel agency jointly operated by the International Travel Service of the Resort and China, Chinese enterprises should, in principle, be the existing first-class travel agencies with strong strength and good reputation in the city (region) where the tourist area is located. Article 4 The foreign enterprise of the first-class Sino-foreign joint venture travel agency operated by the International Travel Service of the Resort shall be an international travel agency mainly engaged in holiday tourism business, or a travel agency that transports more than 5,000 tourists to the China tourism market every year. In principle, foreign enterprises can only set up joint ventures with China enterprises in national tourist resorts. Article 5 A Chinese-foreign joint venture class I travel agency established in the national tourist resort may appropriately attract overseas travel agencies and domestic class I travel agencies to participate in the stock market, and be jointly invested and operated by * * *. Chinese and foreign parties can absorb more than one travel agency to form a joint venture partner to participate in the joint venture. Article 6 To set up a Sino-foreign joint venture class I travel agency in a national tourist resort, the following conditions must be met:

(a) the resort has fixed office space, office facilities, communication facilities and transportation. No less than 200 square meters of office space, no less than 1 fax machine, typewriter and copier, no less than 4 direct dial telephones and no less than 1 car.

(two) at least 25 propagandists and translation guides.

(3) The registered capital is not less than US$ 6,543.8+0,000 or equivalent foreign exchange RMB, and the investment ratio of Chinese enterprises is not less than 565.438+0%.

Article 7 The term of joint venture of Class I travel agencies established in national tourist resorts shall generally not exceed 20 years. Article 8 In the pilot stage of national tourist resorts, in principle, only one first-class Chinese-foreign joint venture travel agency is approved for each national tourist resort. Article 9 The business scope of the first-class Sino-foreign joint venture travel agency established in the national tourist resort is as follows:

(a) mainly engaged in attracting and receiving overseas tourists who come to vacation.

(2) China's domestic tourism reception business that can be used for sightseeing and vacation in this resort.

(three) to be able to operate the business of attracting overseas tourists to China with this resort as one of its destinations.

(four) can run other tourism business in the resort.

A first-class travel agency established in a national tourist resort shall not operate beyond the above four areas, and shall not set up business branches in other areas of China. Article 10 For a first-class travel agency that runs a Sino-foreign joint venture in a national tourist resort, the administrative committee of the national tourist resort and the tourism bureau of the city (region) where it is located shall jointly submit a project proposal to the tourism bureau of the province (autonomous region, municipality directly under the central government and cities with separate plans) where it is located; The tourism bureaus of all provinces (autonomous regions, municipalities directly under the Central Government and cities under separate state planning) shall submit their opinions to the National Tourism Administration if they agree to the examination; The National Tourism Administration will issue a document approving the project proposal to those who have passed the examination.

The main contents of the project proposal and its annexes include:

1. Name of Chinese joint venture, category of travel agency, legal address, name and position of legal representative, name of competent unit.

2. The name, registered country (region), legal address, name, position and nationality of the legal representative of the foreign joint venture.

3. Total investment, registered capital, investment amount, investment proportion and investment mode of the joint venture; The number of people attracted and received by the joint venture and its benefit forecast.

4. Main attachments:

(1) Whether the development and construction of the resort, including the name and investment amount of the completed and put into operation projects, meet the conditions stipulated in Article 2 of these Measures.

(two) the qualification introduction of China enterprises, indicating whether it meets the conditions stipulated in Article 3 of these Measures.

(three) the credit investigation and qualification introduction of foreign enterprises, indicating whether they meet the conditions stipulated in Article 4 of these Measures.
