Articles of Association of Guangdong Catering Service Industry Association
Article 1 The name of this Association is Guangdong Catering Service Association (English translation of Guangdong Catering Service Association, abbreviated as GCSA).
Article 2 The nature of this Association: a provincial inter-departmental, cross-ownership, non-profit trade organization voluntarily composed of enterprises, institutions, organizations and managers engaged in catering business, with the legal person status of social organizations.
Article 3 The purpose of this Association: to abide by the Constitution, laws, regulations and relevant state policies, to observe social ethics, to fully implement Scientific Outlook on Development, to build a resource-saving and environment-friendly society, to promote social harmony, to be people-oriented, service innovation and cooperative development-oriented, to face the whole industry, to reflect the wishes of its members, to convey and implement relevant state policies, to develop modern business methods, to open up the service consumer market, to train technical and management talents, and to revitalize Guangdong Province.
Article 4 This Association shall accept the business guidance, supervision and management of the competent business units and the registration and management organs of associations. The competent business department of this Association is Guangdong Economic and Trade Commission, and the organization registration management organ is Guangdong Provincial Administration of Non-governmental Organizations.
Article 5 The activity area of this Association is located in Guangdong Province.
Article 6 The domicile of the Association is located at Room 809-8 1 1, West Block of Huapu Plaza, Zhujiang New Town, Guangzhou, Guangdong Province.
Chapter II Scope of Business
Article 7 Business scope of the Association: Focusing on promoting the sustainable development of the catering industry in our province and improving the economic benefits of its members, assisting the competent authorities of Guangdong Province to carry out the following work:
(a) to publicize and implement the principles and policies of the relevant industries of the state, formulate industry development plans and rules and regulations, and promote industry self-discipline;
(two) to reflect the wishes of members and protect the legitimate rights and interests of the catering service industry;
(three) to assist the relevant government departments to organize the implementation of national standards and industry standards for the catering service industry, popularize modern scientific management methods and business methods, and promote industrial scientific and technological innovation, industrial innovation, product innovation and brand building;
(four) to organize and guide the catering service industry to implement Scientific Outlook on Development. Under the authorization of the relevant competent departments, we will establish independent innovation, economy, safe production, honesty and harmony enterprises, carry out green hotel creation activities, carry out famous shops, famous teachers and famous products activities, and organize identification and recommendation. (eight) to organize and promote the development of leisure baths, KTV, bars, hotels and restaurants in scenic spots, strengthen and maintain contact and communication with local catering industry organizations, give play to the joint advantages of the association, promote contact and cooperation among members, members and related enterprises and institutions, and improve economic and social benefits;
(nine) editing books and periodicals in the catering industry;
(ten) to undertake the matters of this industry authorized or entrusted by the relevant government departments.
Chapter III Members
Article 8 Members of this Association are divided into group members and individual members.
Article 9 A member applying to join this Association must meet the following requirements:
(1) Team members:
Hotels, catering service enterprise groups, enterprises and institutions related to the catering service industry, catering industry associations (societies and research institutes), catering service institutions and research institutions all over Guangdong Province, regardless of affiliation or ownership nature, can voluntarily apply for membership and become group members of the association.
(2) Individual members:
Middle and senior managers, researchers, professors and people with rich management experience in the catering industry, who support the articles of association and love the catering service industry in Guangdong, can voluntarily apply for membership and become individual members of the association.
Article 10 The membership procedure is:
(a) to submit an application for membership and fill in the application form for membership;
(two) discussed and approved by the Standing Council or the authorized secretary general's office;
(3) Signboards issued by the Secretariat to membership certificate and its members.
Article 11 Members shall enjoy the following rights:
(1) Attending the general meeting of members, participating in the activities of the Association and accepting the services provided by the Association;
(two) the right to vote, to be elected and to vote;
(three) to obtain the priority of our services;
(four) the right to put forward suggestions, opinions and supervision on the work of this association;
(5) Freedom of voluntary membership and withdrawal;
Article 12 Members shall perform the following obligations:
(1) Abide by the articles of association;
(two) to implement the resolutions of this Council;
(3) Paying membership fees according to regulations;
(four) to safeguard the legitimate rights and interests of associations and industries;
(five) to complete the work assigned by the association;
(six) to reflect the situation to this Council and provide relevant information;
Thirteenth members to withdraw from the meeting, it shall notify the association in writing, and return the membership card and membership identification card.
If a member fails to fulfill his membership obligations and does not participate in the activities of the association, it will be deemed as automatic withdrawal.
Article 14 If a member seriously violates the Articles of Association, it shall be removed from the membership by voting of the Council or the Standing Council.
Fifteenth members pay membership fees:
(1) The annual membership fee paid by the vice-president unit is 6,543,800 yuan;
(two) the annual membership fee paid by the executive director unit is 5000 yuan;
(3) The annual membership fee paid by the governing unit is 3,000 yuan;
(4) General member units pay annual membership fee of 65,438+0,000 yuan.
(5) The annual membership fee paid by individual members is 300 yuan.
Article 16 A member shall notify the trade association in writing and return the membership card. A member 1 year who fails to pay the membership fee or does not participate in the activities of this trade association is deemed to have withdrawn automatically.
Seventeenth members who do not abide by the articles of association of this trade association shall be criticized and educated by this trade association; If there is a serious violation of the Articles of Association, it will be removed by voting at the shareholders' meeting.
Chapter IV Creation and Dismissal of Organizational Structure and Person in Charge
Article 18 this association is composed of members, and members form a general meeting. The members' congress is the highest authority of the trade association and exercises its functions and powers in accordance with national laws and regulations and the articles of association of the trade association.
Article 19 The general meeting of members shall exercise the following functions and powers:
(1) To decide the business scope and work functions of the Association within the scope prescribed by laws and regulations;
(two) to elect or recall the president, vice president, secretary general, directors and supervisors; (The election was held by secret ballot)
(3) To review the annual work reports and annual financial budget and final accounts plans of the board of directors and the board of supervisors;
(four) to consider the recommendations of the Council on the recall of members;
(five) to make resolutions on the alteration, dissolution and liquidation of the association;
(six) to change or cancel the inappropriate decisions of the Council;
(seven) to formulate or amend the articles of association and election methods of the organization;
(8) Deciding to terminate.
(9) Deciding on other major matters.
Eighteenth members' congress is held every four years. Due to special circumstances, it is necessary to advance or postpone the general election, which shall be voted by the Council and reported to the registration authority of the association for approval. However, the longest extension shall not exceed 1 year. The general meeting of members shall be held at least once every two years. If the Council considers it necessary or more than one-fifth of the members propose, it may convene an interim member representative meeting.
Nineteenth members' congress must be attended by more than two-thirds of the members' representatives; Its resolution must be adopted by more than half of all members' representatives. The members' congress shall make minutes of the decisions on the matters discussed and announce them to the members.
Article 20 The Association shall have a Council. The Council is the permanent body of the member congress. When the member congress is not in session, it will perform its duties according to the resolutions and articles of association of the member congress.
Article 21 The functions and powers of the Council are:
(1) Preparing for and convening the members' congress;
(two) to implement the resolutions of the general meeting of members and report to the general meeting of members;
(three) to decide on the specific work and business of the association;
(four) to formulate the annual financial budget plan, final accounts plan, change, dissolution and liquidation plan of the Association;
(five) to formulate plans for increasing or decreasing the registered capital of the Association;
(six) to decide on the establishment of the internal organs of the association and lead the internal organs of the association to carry out their work;
(seven) to decide on the membership of the new applicant and the punishment of the member, and put forward the proposal of removing the member;
(eight) to appoint or dismiss the Secretary-General of the appointment system and decide on the main persons in charge of the branches of the Association; According to the nomination of the Secretary-General, appoint or dismiss the Deputy Secretary-General of the Association, the heads of offices and representative offices, and decide on their remuneration;
(nine) to formulate the internal management system of the association;
(ten) other matters stipulated in the articles of association.
Article 22 The Council shall meet at least once every six months; Under special circumstances, an exchange meeting can also be held. The meeting of the board of directors can only be held when more than half of the directors are present, and its resolution can only take effect when it is approved by more than half of all the directors. The board of directors shall form minutes of the resolution and announce it to all directors.
The meeting of the Council shall be convened and presided over by the President; When the President is unable to perform his duties due to special reasons, the President shall entrust the Vice President or the Secretary General to convene and preside over the meeting. More than one-third of the directors may propose to convene a board meeting.
Article 23 If the number of the board of directors exceeds 50, an executive director may be elected from among the directors as required, and a standing council may be established, which is responsible to the board. The Standing Council consists of President, Vice President and Executive Director; The number of executive directors is one third of the number of directors. When the Council is not in session, with the authorization of the Council, the Standing Council may exercise the first, second, fourth, fifth, sixth, seventh, eighth and ninth functions and powers stipulated in Article 21 of the Articles of Association. The Permanent Council shall meet at least once every three months; Special circumstances can also be held by means of communication. A resolution made by the Standing Council must be passed by more than half of the standing directors.
The Standing Council shall make minutes of the decisions on the matters discussed.
Article 24 Rules and procedures for the establishment of branches and representative offices of this Association:
(1) The secretariat of the trade association shall put forward a specific plan for setting up branches;
(two) submit the specific plan to the president's office meeting for discussion and adoption;
(3) Submit the adopted specific plan to the Council for deliberation and approval.
(four) reported to the social organization registration authority for examination and approval.
Article 25 The Association shall have a board of supervisors, which shall be elected by the general meeting of members. The term of office of the board of supervisors is the same as that of the board of directors, and may be re-elected upon expiration.
The president, vice-president, directors and secretary-general shall not concurrently serve as supervisors.
Article 26 The president, vice-president, secretary-general and supervisor of this Association must meet the following conditions:
(a) adhere to the party's line, principles and policies, and abide by national laws and regulations;
(2) It has great influence in this industry;
(3) The president, vice-president and secretary-general shall not be over 70 years old, and the secretary-general shall be full-time;
(4) Being in good health and able to stick to normal work;
(5) Having not received criminal punishment;
(6) Having full capacity for civil conduct.
Article 27 The Secretary-General of this Association adopts the appointment system, and the Secretary-General and the President cannot be produced in the same enterprise. The president may not concurrently serve as the secretary-general, and the general assembly or representative assembly has the right to elect or recall.
Article 28 The Association shall have a president and several vice-presidents. The president shall be the legal representative of this trade association, and the legal representative of this trade association shall not concurrently serve as the legal representative of other social organizations.
Article 29 The term of office of the President, Vice-President and Secretary-General of this Association is four years, and no more than two consecutive terms may be served. If it is necessary to extend the term of office due to special circumstances, it must be voted by more than two-thirds of the members' representatives at the members' congress, reported to the competent business unit for review, and approved by the registration and management authority of the association before taking office.
Article 30 The President of this Association shall exercise the following functions and powers:
(1) Convening and presiding over the meetings of the Council;
(two) to check the implementation of the resolutions of the General Assembly and the Council;
(3) Signing relevant important documents on behalf of the Association;
Article 31 The vice-president and the secretary-general of this Association shall work under the leadership of the president, and the secretary-general shall be responsible to the Council. The Secretary-General shall be a full-time person and exercise the following functions and powers:
(a) to preside over the daily work of the office and organize the implementation of the annual work plan;
(2) Organizing the formulation and implementation of annual work plans, budgets and decisions;
(3) Coordinating the work of branches, representative offices and entities;
(4) Nominating the Deputy Secretary-General and the principal responsible persons of offices, branches, representative offices and units, and submitting them to the Council or the Standing Council for decision;
(5) Nominating and hiring full-time staff of offices, representative offices and entities, and reporting to the President for approval;
(6) Handling other daily affairs;
The Secretary-General attends meetings of the Council and the Permanent Council.
Article 32 The Board of Supervisors shall exercise the following functions and powers:
(1) To report the annual work to the General Assembly.
(two) to supervise the election and recall of the general assembly and the Council; Supervise the Council to implement the resolutions of the general assembly.
(three) to check the financial and accounting information of the association and report the situation to the registration authority and the competent tax and accounting departments.
(4) Supervisors have the right to raise questions and suggestions to the Board of Directors as participants without voting rights.
(5) Supervising the compliance of the Council with laws and articles of association. When the behavior of the president, vice-president, directors, secretary-general and other managers harms the interests of the association, they are required to correct it and report to the member congress or relevant government departments when necessary.
Supervisors shall abide by the relevant laws and regulations and the Articles of Association, accept the leadership of the general meeting of members, and earnestly perform their duties.
Chapter V Principles of Asset Management and Use
Thirty-third sources of funds of the Association:
(1) membership fees;
(2) donation;
(3) government funding;
(4) Income from activities or services provided within the approved business scope;
(5) interest;
(6) Other lawful income.
Article 34 The Association shall abide by laws and regulations when accepting donations, and shall not apportion in any form or in disguised form. Donors, sponsors or units, members and supervisors have the right to inquire about the use and management of donated property from the Association and put forward opinions and suggestions. The association shall promptly and truthfully answer the inquiries of donors, sponsors or units, members and supervisors.
Article 35 the funds of this association must be used for the business scope and career development as stipulated in the articles of association. Property and other income are protected by law, and no unit or individual may occupy, privately divide or misappropriate them.
Article 36 If the president, vice-president, directors, supervisors, secretary-general and staff members of the association privately divide, occupy or misappropriate the property of the association, they shall return it and review it at the general meeting; If a crime is constituted, criminal responsibility shall be investigated according to law.
Article 37 This Association implements the unified national accounting system, conducts accounting according to law, establishes and improves the internal accounting supervision system, and ensures the legality, truthfulness, accuracy and completeness of accounting data.
The Association will accept the tax supervision and accounting supervision carried out by the competent tax and accounting departments according to law.
Article 38 An association shall be equipped with accountants with professional qualifications. Accounting personnel shall not concurrently serve as cashiers. Accountants must conduct accounting and exercise accounting supervision. When an accountant transfers his job or leaves his post, he must go through the handover procedures with the recipient.
Article 39 The asset management of this Association must implement the financial management system stipulated by the state and accept the supervision of the general meeting (or representative meeting) and the financial department. If the source of assets belongs to the state appropriation or social donation or subsidy, it must accept the supervision of audit institutions and publish relevant information to the society in an appropriate way.
Article 40 The annual report, general election, change of legal representative and liquidation of this Association must be subject to the financial audit organized by the registration authority.
Article 41 An association shall, in accordance with the Regulations of Guangdong Province on Industry Associations, submit the activity report, financial report and activity arrangement of the previous year to the registration authority before the end of March each year.
Establish a major event reporting system: hold large-scale academic reports, seminars and exhibitions, hold foreign exchanges, communicate with overseas non-governmental organizations, carry out industry appraisal, meet standards and commend activities, and accept donations from overseas and society. , and report to the relevant government departments and registration authorities for relevant procedures before the event.
Forty-second full-time staff of the Association shall implement full-time appointment system, openly recruit for the society and sign labor contracts. Its salary, insurance and welfare benefits shall be implemented with reference to the relevant provisions of the state on public institutions.
Chapter VI Procedures for Amending the Articles of Association
Article 43 The amendment of the Articles of Association shall be approved by the board of directors and submitted to the shareholders' meeting for deliberation.
Article 44 The revised articles of association of this Association shall come into effect after being approved by the registration authority within 30 days after being adopted by the general meeting of members.
Chapter VII Termination Procedure and Property Disposal after Termination
Article 45 In any of the following circumstances, this Association shall be terminated, and the Council or the Standing Council shall propose a motion for revocation:
(a) to complete the purpose stipulated in the articles of association;
(2) The general assembly (or representative assembly) resolves to dissolve;
(3) Division or merger of the association;
(four) unable to continue to work in accordance with the purpose of the articles of association;
Article 46. The motion to terminate the association must be voted by the general meeting of members and reported to the registration authority of the association for approval.
Article 47 Before the termination of this Association, a liquidation organization shall be established under the guidance of the registration authority of associations and relevant units to clear up the creditor's rights and debts and deal with the aftermath. During the liquidation period, no activities other than liquidation will be carried out. The Association shall go through the cancellation procedures with the registration authority within 15 days after the liquidation.
Article 48 this association shall be terminated after the cancellation of registration by the association registration authority.
Article 49 The remaining property after the termination of this Association shall be used for the development of undertakings related to the purposes of this Association under the supervision of the registration and administration organ of associations and in accordance with the relevant provisions of the state.
Chapter VIII Supplementary Provisions
Article 50 The Articles of Association was adopted by the shareholders' meeting on X, 2007.
Article 51 The right to interpret the Articles of Association belongs to the Council of the Association.
Article 52 The Articles of Association shall come into force as of the date of approval by the registration authority of associations.
