Chapter 1 General Provisions

Article 1 Name: This association is named Henan Province Alcoholic Drinks Association (hereinafter referred to as the Association)

Article 4 The Association accepts the business management and supervision guidance of the business authorities and the society registration and management authorities. Chapter 2 Business Scope

Chapter 3 Members

Article 7 The association implements unit membership and individual membership systems. Anyone engaged in the production of liquor, beer, imported wine, wine, fruit wine, rice wine and alcohol industry , circulation enterprises and production, operation, scientific research institutes, education, media and other enterprises and institutions in related industries, as well as other social groups and individuals, recognize this charter and can become members of the association through application and review and approval by the association's board of directors.

Article 8 Members who apply to join the association must meet the following conditions:

Article 9 The procedures for membership membership are:

Article 10 Members enjoy the following rights:

(1) Have the right to elect, be elected and vote in the association;

Article 11 Members should perform the following obligations:

(1) Comply with the articles of association and implement the resolutions of the association;

(4) Pay membership fees in accordance with regulations;

Article 12 Members who wish to withdraw from membership shall notify the Association in writing and return the membership certificate. If a member fails to pay membership fees or participate in the activities of the association for two years, he will be deemed to have automatically withdrawn from membership.

Article 13 If a member seriously violates this Articles of Association and fails to make corrections after being prompted, the Board of Directors or the Standing Board of Directors will vote to expel the member.

Chapter 4: Organizational Structure and the Creation and Removal of Persons in Charge

Article 14: The highest authority of the Association is the General Assembly, and the powers of the General Assembly are:

(1) Formulate and amend the charter;

(2) Elect and remove directors;

(3) Review the work report and financial report of the board of directors;

(4) Decide on termination matters;

(5) Determine the association’s policies and business;

Article 15 The general meeting of members must be attended by more than 2/3 of the members, and its resolutions must be passed by more than half of the members present to take effect.

Article 16 The membership meeting lasts for five years. If the term change needs to be advanced or postponed due to special circumstances, it shall be voted by the board of directors, reported to the business supervisory unit for review and approved by the society registration authority. However, the maximum extension of the term change shall not exceed one year.

Article 17 The Board of Directors is the executive agency of the General Assembly. It leads the association to carry out daily work during the inter-session period and is responsible to the General Assembly.

Article 18 The powers of the board of directors are:

(1) Implement the resolutions of the general meeting;

(2) Elect and remove the president and vice-presidents President, Secretary-General, and Executive Director;

(3) Prepare for the general meeting of members;

(4) Report work and financial status to the general meeting of members;

(5) Decide on the admission or expulsion of members;

Article 20 The Board of Directors shall hold at least one meeting every year; under special circumstances, it may also be held by communication.

Article 21 The Association shall establish a Standing Council. The Standing Council is elected by the Board of Directors and shall exercise the powers specified in Items 1, 3, 5, 6, 7 and 8 of Article 18 when the Board of Directors is not in session, and shall be responsible to the Board of Directors. Anyone who serves as the president (director), vice president (deputy director) or above of a branch shall, in principle, be the executive director of the association.

Article 22 The Standing Council must be attended by more than 2/3 of the standing directors before it can be convened, and its resolutions must be approved by more than 2/3 of the standing directors present at the meeting to take effect.

Article 23 The Standing Council shall hold a meeting at least once a year; under special circumstances, it may also be held by communication.

Article 24 The president, vice president, and secretary-general of the association must meet the following conditions:

(1) Adhere to the party’s line, principles, and policies, and have good political quality ;

(2) Have a greater influence in the business field of the association;

(3) According to regulations, the maximum age of the president, vice president, and secretary-general shall not exceed 60 years old . The president and secretary-general are full-time;

(4) Good health, able to work normally, strong sense of responsibility, certain cultural qualities, and willing to serve the industry;

(5) ) has not been subject to criminal punishment of deprivation of political rights;

(6) Has full capacity for civil conduct.

Article 25 If the president, vice-president, and secretary-general of the association exceed the maximum age for office, they must be voted by the board of directors, reported to the business supervisory unit for review, and approved by the society registration and management authority. Article 26 The term of office of the president, vice-president and secretary-general of the Association is five years, and the maximum term shall not exceed two terms. If the term of office needs to be extended due to special circumstances, it must be approved by a vote of more than 2/3 of the members at the general meeting, reported to the business supervisory unit for review, and approved by the society registration and management authority before taking office.

Article 27: Upon review and approval by the business supervisory unit and consent of the society registration and management authority, the legal representative of the association shall be the president.

The legal representative of this association does not concurrently serve as the legal representative of other groups.

Article 28 The president of the association shall exercise the following powers:

(1) Convene and preside over meetings of the board of directors, standing board of directors, and presidents (directors) of each branch;

(2) Inspect the implementation of the resolutions of the General Assembly and the Board of Directors;

(3) Sign relevant important documents on behalf of the association.

(4) Convene and chair the president’s office meeting composed of the vice president and secretary-general to study and decide on relevant major matters.

Article 29 The Secretary-General of the Association shall exercise the following powers:

(1) Preside over the daily work of the office and organize the implementation of the annual work plan;

(2) Coordinate the work of each branch, representative agency, and entity agency;

(3) Nominate the deputy secretary-general and the main person in charge of the office, branch, representative agency, and entity agency, and submit them to the Board of Directors or Decisions of the Standing Council;

(4) Deciding on the employment of full-time staff of offices, representative offices and entities;

(5) Signing relevant documents on behalf of the association;

(6) Handle other daily affairs.

Chapter 5 Principles of Asset Management and Usage

Article 30 Sources of funding for the association:

(1) Membership fees;

(2) Donations;

(3) Government funding;

(4) Income from activities or services within the approved business scope;

(5) ) Interest;

(6) Other legal income.

Article 31: The Association collects membership dues in accordance with relevant national regulations;

Article 32: The Association’s funds must be used for the business scope and career development stipulated in this Articles of Association. It shall not be distributed among members;

Article 33 The Association shall establish a strict financial management system to ensure that accounting information is legal, authentic, accurate and complete.

Article 34 The Association is equipped with professionally qualified accounting personnel. Accountants may not concurrently serve as cashiers. Accountants must conduct accounting calculations and implement accounting supervision. When accounting personnel transfer jobs or resign, they must complete the handover procedures with the receiver.

Article 35 The asset management of this association must implement the financial management system prescribed by the state and accept the supervision of the general meeting of members and the financial department. If the source of assets is social donations or funding, they must be subject to the supervision of the auditing agency, and the relevant information must be announced to the public in an appropriate manner.

Article 36 The association must accept the financial audit organized by the society registration and management authority and the business supervisory unit before changing its term or legal representative.

Article 37 The assets of the Association shall not be misappropriated, privately divided or misappropriated by any unit or individual.

Article 38 The wages, insurance, and welfare benefits of the association’s full-time staff shall be implemented in accordance with the relevant national regulations for public institutions.

Chapter 6 Procedure for Amending the Articles of Association

Article 39: Modifications to the Articles of Association of the Association must be voted and approved by the Board of Directors before being submitted to the General Assembly for review. In special circumstances, communication may also be used. Form for comments.

Article 40 The revised articles of association of this association must be approved by the general meeting of members, reviewed and approved by the business supervisory unit, and reported to the society registration and management authority for approval before taking effect.

Chapter 7 Termination Procedures and Property Disposal after Termination

Article 42 The motion to terminate the association must be voted and approved by the general meeting of members and reported to the business supervisory unit for review and approval.

During the liquidation period, no activities other than liquidation will be carried out.

Article 44 The association will be terminated after the cancellation of registration procedures is completed by the association registration and management authority.

Article 45 The remaining property after the termination of the association will be used to develop undertakings related to the purpose of the association under the supervision of the business supervisory unit and the community management agency and in accordance with relevant national regulations.

Chapter 8 Supplementary Provisions

Article 46 This Article of Association was revised and adopted at the eighth general meeting of the Japan Association on May 28, 2011.

Article 47 The right to interpret this charter belongs to the association’s board of directors.

Article 48 This Article of Association shall take effect from the date of approval by the society registration and management authority.
