III. Rights and obligations that Party A should undertake

1. After signing the contract, Party A will hand over all tangible and intangible assets to the new partner for operation while Party B's capital is fully invested.

2. Party A shall make an inventory of all creditor's rights and debts of * * Hotel within the signing date of this contract, and undertake all creditor's rights and debts. If the unclear creditor's rights and debts affect the operation of the new partner, it is necessary to compensate all the economic losses caused by it.

3. All the original managers and service personnel of Party A shall do the necessary ideological work, pay off all the creditor-debtor relations and terminate the employment contract, and accept the recruitment of the new cooperative enterprise.

4. after the contract is agreed to be signed, party a shall ensure that the original property of the hotel will not be damaged and destroyed, so as to successfully complete the handover work.

5. after the operation of the new cooperative enterprise, party a shall bear the economic responsibilities brought by all economic activities after the cooperation with its own shares and enjoy the economic rights brought by it.

1. within 24 hours after signing the contract, party b will inject RMB 51, into the account of * * hotel in cash (of which RMB 26, is exclusively owned by party a and RMB 25, is owned by * * hotel).

2. after the contract comes into effect, party b quickly enters the new cooperative enterprise, which shall not affect the normal operation of the new enterprise.
