Constitution of China Association for the Promotion of Environmental Culture
Article 1 The full name of this Association is: China Association for the Promotion of Environmental Culture.
English name: China Association for the Promotion of Environmental Culture.
English abbreviation: CECPA
Article 2 This Association is a social and cultural organization voluntarily composed of experts, scholars, writers, artists, journalists, publicity and education workers, entrepreneurs and social celebrities. Environmental, economic, cultural, scientific and technological fields all over the country. It is a cross-regional and cross-departmental national professional association with legal personality and a non-profit social organization.
Article 3 Environmental culture is an important part of advanced culture, and its core is ecological civilization. Actively carry out social activities such as environmental culture, environmental education, environmental art, environmental literature, environmental photography, environmental news, etc., and make full use of various forms of cultural communication to achieve the purpose of publicizing environmental culture, promoting green concepts, promoting the construction of ecological civilization system in Socialism with Chinese characteristics and the development of environmental protection in China.
Article 4 The Association accepts the professional guidance, supervision and management of the State Environmental Protection Administration and the Ministry of Civil Affairs.
Article 5 Address of the Association: Floor 4, Block B, Building 33, Zhongyu Business Garden, No.42 Fucheng Road, Haidian District, Beijing.
Chapter II Scope of Business
Article 6 The business scope of this Association is as follows:
(1) Organizing and contacting cultural and artistic circles and celebrities from all walks of life to carry out exchange activities and prosper environmental culture;
(two) to contact and guide various cultural groups and non-governmental environmental cultural organizations to serve the cause of environmental protection;
(3) Organizing theoretical research and creative activities of environmental culture;
(four) to undertake national environmental and cultural awards, exhibitions, performances, competitions and other activities;
(five) to carry out international exchanges and cooperation in the field of environmental culture;
(six) to undertake the selection of "Chinese environmental ambassadors" and organize environmental ambassadors and environmental protection volunteers to carry out environmental protection public welfare activities;
(seven) to carry out publicity, planning, consulting and service of enterprise environmental culture.
(8) Organizing environmental culture training and seminars;
(nine) editing and publishing publications and publicity materials related to environmental culture, editing and distributing the magazine "Green Leaf", establishing and managing the "Home Network" station, and establishing the national environmental culture information network.
Chapter III Members
Article 7 Members of this Association are divided into group members and individual members.
Article 8 A member applying to join this Association must meet the following requirements:
(a) support the articles of association;
(2) Having the will to join this Association;
(3) It has a certain influence in its business field (industry and discipline);
(4) All enterprises and organizations engaged in environmental and cultural construction activities can apply to join the association and become group members.
Article 9 Membership procedures:
(1) submitting an application for membership;
(2) discussed and adopted by the Council;
(3) Membership cards are issued by institutions authorized by the Association.
Article 10 Members shall enjoy the following rights:
The right to vote, to be elected and to vote;
(two) to participate in the activities of this association;
(three) to obtain the priority of our services;
(four) have the right to criticize, suggest and supervise the work of this association;
(5) Freedom to join and quit voluntarily.
Article 11 Members shall perform the following obligations:
(a) To implement the resolutions of this Council;
(two) to safeguard the legitimate rights and interests of the association;
(three) to complete the work assigned by the association;
(four) to pay membership fees in accordance with the provisions;
(5) Report the situation to this Council and provide relevant information.
Article 12 A member who withdraws from the club shall notify the club in writing and return his membership card.
If a member fails to pay the membership fee or participate in the activities of the association for one year, it will be deemed as automatic withdrawal.
Article 13 A member who seriously violates the Articles of Association shall be removed by voting of the Council or the Standing Council.
Chapter IV Establishment and Cancellation of Institutions and Responsible Persons
Article 14 The highest authority of this Association is the members' congress, and its functions and powers are:
(a) to formulate and amend the articles of association;
(2) Electing and dismissing directors;
(three) to consider the work report and financial report of the Council;
(4) Deciding to terminate.
(5) Deciding on other major matters.
Fifteenth members' congress can only be held when more than two thirds of the members' representatives are present, and its resolutions can only take effect when more than half of the members' representatives present vote.
Article 16 The general meeting of members shall be held every five years. If it is necessary to advance or postpone the general election due to special circumstances, it must be voted by the board of directors, reported to the competent business department for examination and approval, and approved by the registration authority of the association. However, the longest extension shall not exceed 1 year.
Article 17 The Council is the executive body of the general meeting of members. During the intersessional period, the Council entrusts the Standing Council to lead the daily work of the Association and be responsible to the member congresses.
Article 18 The functions and powers of the Council are:
(a) to implement the resolutions of the members' congress;
(two) to elect or recall the president, vice president and secretary general;
(three) to prepare for the convening of the members' congress;
(four) to report the work and financial situation to the members' congress;
(five) to decide to absorb and recall members;
(6) Deciding to establish offices, branches, representative offices and entities;
(seven) to decide the appointment and removal of the Deputy Secretary General and the principal responsible persons of various institutions;
(eight) to lead the work of the institutions of this Association;
(nine) to formulate internal management system;
(10) To decide on other major matters.
Article 19 The board of directors shall be convened only when more than two thirds of the directors are present, and its resolutions shall take effect only when more than two thirds of the directors are present.
Article 20 The Council shall meet at least once a year; Under special circumstances, it can also be held by means of communication.
Article 21 The Association shall establish a standing council. The Standing Council is elected by the Council and consists of the chairman, vice chairman, executive director and secretary general. In principle, the number of executive directors shall not exceed 65,438+0/3 of the number of directors. When the Council is not in session, the Standing Council exercises the functions and powers of Article 18, items 1, 3, 4, 5, 6, 7, 8 and 9, and is responsible to the Council.
Article 22 The Standing Council shall be convened only when more than two-thirds of the executive directors are present, and its resolutions shall take effect only after being voted by more than two-thirds of the executive directors present at the meeting.
Twenty-third meetings of the Standing Council shall be held at least once every six months, and may be held in the form of communication under special circumstances.
Article 24 The president, vice-president and secretary-general of this Association must meet the following conditions:
(a) adhere to the party's line, principles and policies, with high political quality;
(2) It has great influence in the business field it is engaged in;
(3) President, vice-president and secretary-general (except on-the-job personnel), with the maximum working age not exceeding 70 years, and the secretary-general is full-time;
(4) Being in good health and able to stick to normal work;
(5) Having not been subjected to criminal punishment of deprivation of political rights;
(6) Having full capacity for civil conduct.
Article 25 The president, vice-president and secretary-general of the Association (except the on-the-job staff) who are over the maximum working age can take up their posts only after being approved by the Council, reported to the competent business unit for examination and approved by the registration and management authority of the Association.
Article 26 The term of office of the President, Vice-President and Secretary-General of this Association is five years. If it is necessary to extend the term of office due to special circumstances, it must be voted by more than two-thirds of the members' representatives at the members' congress, reported to the competent business unit for review, and approved by the registration and management authority of the association before taking office.
Article 27 The Secretary-General of the Association is the legal representative of the organization.
The legal representative of this Association shall not concurrently serve as the legal representative of other organizations.
Article 28 The President shall exercise the following functions and powers:
(1) Convening and presiding over the Standing Council;
(two) to check the implementation of the resolutions of the members' congress and the Standing Council;
(3) Signing relevant important documents on behalf of this Council.
Article 29 The Secretary-General of this Association shall exercise the following functions and powers:
(a) to preside over the daily work of the office and organize the implementation of the annual work plan;
(2) Coordinating the work of branches, representative offices and entities;
(3) Nominating the Deputy Secretary-General and the principal responsible persons of offices, branches, representative offices and units, and submitting them to the Council or the Standing Council for decision;
(four) to decide on the employment of full-time staff of offices, representative offices and entities;
(5) Handle other daily affairs.
Article 30 This Association has several professional committees to carry out environmental and cultural work.
Chapter V Principles of Asset Management and Use
Thirty-first sources of funds of the Association:
(1) membership fees;
(2) donation;
(3) government funding;
(4) Income from activities or services provided within the approved business scope;
(5) interest;
(6) Other lawful income.
Article 32 the association collects membership fees in accordance with relevant state regulations.
Article 33 the funds of this association must be used for the business scope and career development as stipulated in the articles of association, and shall not be distributed among members.
Article 34 An association shall establish a strict financial system to ensure the legality, truthfulness, accuracy and completeness of accounting information.
Article 35 An association shall be equipped with accountants with professional qualifications. Accounting personnel shall not concurrently serve as cashiers. Accountants must conduct accounting and exercise accounting supervision. When an accountant transfers his job or leaves his post, he must go through the handover procedures with the recipient.
Article 36 The asset management of this Association must implement the financial management system stipulated by the state and accept the supervision of the members' congress and the financial department. Where the sources of funds belong to state grants or social donations or subsidies, they must accept the supervision of audit institutions and publicize the relevant information to the public in an appropriate way.
Article 37 Before the legal representative of this Association is changed or replaced, he must accept the financial audit organized by the registration authority and the competent business unit of this Association.
Article 38 No unit or individual may occupy, privately divide or misappropriate the assets of this Association.
Article 39 The wages, insurance and welfare benefits of the full-time staff of this Association shall be implemented with reference to the provisions of relevant state institutions.
Chapter VI Procedures for Amending the Articles of Association
Article 40 Any amendment to the articles of association of this Association must be approved by the Council and submitted to the members' congress for deliberation.
Article 41 The revised articles of association of the Association shall come into effect within 15 days after being approved by the members' congress, examined and approved by the competent business unit and reported to the registration administration organ of the Association.
Chapter VII Termination Procedure and Property Disposal after Termination
Article 42 If the Association completes its purpose, dissolves or needs to be cancelled due to division or merger, the Council or the Standing Council shall propose a motion for termination.
Article 43 The motion to terminate this association must be voted by the members' congress and submitted to the competent business unit for examination and approval.
Forty-fourth before the termination of this association, a liquidation organization shall be established under the guidance of the competent business unit and relevant authorities to clean up the creditor's rights and debts and deal with the aftermath. During the liquidation period, no activities other than liquidation will be carried out.
Article 45 this association shall be terminated after the cancellation of registration by the association registration authority.
Article 46 The remaining property after the termination of this Association shall be used for the development of undertakings related to the purpose of this Association under the supervision of the competent business unit and the registration and administration organ of the association in accordance with the relevant provisions of the state.
Chapter VIII Supplementary Provisions
Article 47 The Articles of Association was adopted by the members' congress on October 25th, 2003.
Article 48 The right to interpret the Articles of Association belongs to the Council of the Association.
Article 49 The Articles of Association shall come into force as of the date of approval by the registration authority of associations.
