Interim Measures of the National Tourism Administration on Establishing Tourism Management Institutions Abroad

Article 1 The establishment of tourism management agencies abroad refers to the establishment of profit-making travel agencies, the purpose of which is to investigate and study the international tourism market, master tourism information, publicize sales, open up new tourism markets, expand cooperation with foreign tourism companies, attract more tourists to visit China and create more foreign exchange through various forms of tourism economic activities. Article 2 Scope and conditions of application: Any approved class I travel agency must meet the following conditions before applying:

1. It must be an enterprise owned by the whole people that carries out independent accounting, is responsible for its own profits and losses, and pays taxes to the state according to law, and is separated from administrative departments or institutions in terms of people, money and materials.

2. Be able to attract foreign tourists in strict accordance with the relevant regulations of the National Tourism Administration. Can complete the annual reception volume and foreign exchange earning index stipulated in the Implementation Measures of the Interim Regulations on the Administration of Travel Agencies.

3. Have a strong ability to promote and attract activities, and have an outreach salesman who knows the local language and laws.

4. Enterprises can conscientiously implement the national price policy and the principle of "charging first, then receiving", with good management, rich management experience in tourism enterprises, providing quality services, few complaints from overseas tourists, good international reputation, and no long-term arrears to foreign investors.

Setting up tourism enterprises abroad will not damage the enthusiasm of foreign travel agencies to organize tourists to China, but will help expand the host country to attract tourists to China as a whole. Article 3 Before setting up a tourism business organization overseas, we should carefully understand and master the investment environment, legal provisions, application procedures for setting up a tourism enterprise and market conditions of the host country. Article 4 The authority for examining and approving the establishment of tourism business organizations abroad is: for projects with an investment of less than $1000000, the organizer shall obtain the consent of the competent department and apply to the National Tourism Administration after being examined and approved by the tourism bureaus of provinces, autonomous regions and municipalities directly under the Central Government. The National Tourism Administration shall solicit the opinions of Chinese embassies, consulates and relevant departments, and after examination and approval, report to the Ministry of Foreign Economic Relations and Trade for approval and record, and obtain the approval certificate. The relevant banks and customs shall, according to the approval certificate of the Ministry of Foreign Economic Relations and Trade and the approval documents of the National Tourism Administration, handle the procedures for investment remittance and foreign exchange receipts and payments in accordance with relevant regulations. The establishment of tourism agencies in sensitive areas and countries that have not yet established diplomatic relations with China (regardless of the amount of investment), or projects with an investment of more than US$ 1 million (including US$ 1 million), shall be handled in accordance with the Examination and Approval Procedures and Administrative Measures for the Establishment of Non-trade Joint Ventures Abroad (No.85), and shall be reported to the Ministry of Foreign Economic Relations and Trade after being approved by the National Tourism Administration. Article 5 The following documents shall be submitted when applying for the establishment of a tourism business organization abroad and going through the examination and approval procedures:

1. Including: site selection, purpose, task, business scope, investment amount, investment proportion, investment mode, capital source, economic effect and basic business situation;

2. Feasibility study report. Including economic and technical feasibility analysis and project implementation plan;

3. Articles of association (or draft contract) of overseas tourism management institutions (companies). Article 6 An overseas travel agency shall be revoked under any of the following circumstances:

1. Since the date of approval by the examination and approval department, it has failed to prepare for the establishment and conduct business for more than one year;

2. Due to poor management, it can't turn losses for three consecutive years;

3. Engage in activities unrelated to tourism business that violate the laws and regulations of China or the laws of the host country;

If it is necessary to cancel the overseas tourism business organization, it shall be reported to the original examination and approval department for approval, and submitted to the Ministry of Foreign Economic Relations and Trade for the record, and the approval certificate shall be returned. Seventh foreign tourism management institutions in the principles and policies and political and ideological work under the leadership of China's foreign embassies and consulates, and in business under the guidance, coordination and supervision of the National Tourism Administration's foreign offices. Article 8 Travel agencies engaged in overseas business shall report to the competent authorities and the National Tourism Administration once every six months about their operation, financial status (including fixed assets), operating funds, profits and losses, personnel, various rules and regulations, existing problems and lessons learned, and send a copy to the Ministry of Foreign Economic Relations and Trade. Major issues should be reported at any time. Article 9 The measures for examination, approval and management of the establishment of tourism business organizations in Hong Kong and Macao are not included in these measures. In the future, the examination and approval of travel agencies to Hong Kong and Macao must be handled in strict accordance with the relevant provisions of the State Council. Tenth travel agencies established overseas before the promulgation and implementation of these measures must go through the examination and approval procedures again according to these measures; Where a tourism enterprise has not been approved by the National Tourism Administration or has not obtained the approval certificate of the Ministry of Foreign Trade and Economic Cooperation, the organizer must go through the formalities of supplementary reporting to the competent department within three months after the promulgation of these Measures. The competent department shall decide whether to keep it after considering the operation of the enterprise and listening to the opinions of embassies and consulates abroad. If you have any reservations, please go through the formalities for approval according to the procedures and get the approval certificate. If it does not meet the requirements, it shall be revoked. Article 11 The National Tourism Administration is responsible for setting up official tourism offices abroad. Local tourism bureaus do not set up separate tourism offices abroad. If necessary, they can send representatives to work in overseas offices of the National Tourism Administration.
